Anthropic filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission on October 26, 2026, for its proposed initial public offering. The artificial intelligence company plans to list its Class A common stock on the Nasdaq Global Select Market. Its proposed ticker symbol is ANT.

Offering Details

Anthropic has not yet determined the number of shares it will offer or the proposed price range. The filing marks a formal step toward a potential public listing but does not establish an IPO valuation. The company has also not announced an expected trading date.

Underwriting and Prospectus

Goldman Sachs and Morgan Stanley are serving as the designated contacts for obtaining preliminary prospectus materials. Investors will be able to request copies of the prospectus through the banks when available. The document will provide additional information about the proposed offering and its terms.

Regulatory Status

The S-1 registration statement has been filed with the SEC but has not yet become effective. Anthropic cannot sell the securities or accept purchase offers until the registration becomes effective. The proposed IPO remains subject to the regulatory process and the finalization of its offering terms.

Anthropic will need to finalize its share count and pricing before proceeding with the offering. The company has not disclosed how much capital it expects to raise through the transaction. Its planned Nasdaq listing would bring the developer of Claude to the public equity markets if the offering proceeds.
