Logistics software giant WiseTech Global has announced its acquisition of FRDM.ai, an artificial intelligence platform specializing in supply chain compliance. The deal, valued at an initial $10 million, aims to bolster WiseTech's capabilities in managing global trade risks. This strategic move will integrate FRDM.ai's technology to create a more robust verification system for international supply chains.


Strategic Acquisition Details

The financial terms of the agreement include an upfront consideration of $10 million, paid in a combination of cash and WiseTech shares. An additional $14.31 million is available through all-cash earn-outs, contingent on future performance milestones. The transaction is anticipated to be finalized on August 3, 2026, pending the fulfillment of customary closing conditions.

FRDM.ai, established in California in 2018, provides an AI-powered platform for supply chain risk and compliance intelligence. Its technology maps supplier networks beyond direct partners, scoring potential risks related to human rights and regulations in real time. This capability offers businesses deeper visibility into the ethical and legal standing of their entire supply network.

Introducing VerifyWise, A New Compliance Solution

The acquisition will combine FRDM.ai's risk intelligence capabilities with several of WiseTech's existing solutions, including BorderWise and Denied Party Screening. This integration is designed to create a powerful new product named VerifyWise. The new platform will offer a comprehensive suite of tools for managing supply chain integrity and ensuring regulatory adherence.

VerifyWise will function as a data-driven, AI-enabled solution to validate trade data and establish trust across the supply chain. It will leverage the extensive datasets from both companies to create a verified responsible sourcing model for suppliers and buyers. This system aims to streamline the complex process of ensuring compliance with international trade laws.
