Waymo Closes $5 Billion Term Loan in First Debt Financing

Waymo has closed a US$5 billion term loan, marking the company's first debt financing and an important step in its evolution into a scaling commercial enterprise. PIMCO, Blackstone, and Sixth Street participated as lead syndicated lenders, while Capital Group, Loomis Sayles, and T. Rowe Price acted as significant lenders. Goldman Sachs served as the sole lead bookrunner for the financing, which drew participation from a broad and diverse group of institutional investors seeking exposure to autonomous mobility.


First Debt Financing Milestone

Earlier this year, Waymo closed a US$16 billion equity investment to accelerate the expansion of the Waymo Driver, its autonomous driving technology platform. The newly announced term loan complements that equity raise and provides the company with additional financial flexibility as it scales operations. Waymo said its strong commercial momentum enabled it to add debt financing to its balance sheet at a pivotal moment in its growth trajectory and market expansion.

A Broad Syndicate of Lenders

The lender group for the term loan includes several major financial institutions and investment managers. Alongside the lead and significant lenders, Apollo, Blue Owl, Diameter Capital Partners, Franklin Templeton, Fidelity Management & Research Company, HPS Investment Partners, and Oaktree were among the additional lenders in the syndicate. Waymo noted that participation by institutional lenders may represent investment funds, client accounts, or investment vehicles managed or advised by the respective institutions or their affiliated entities.

Commercial Momentum Across Markets

Waymo's fully autonomous ride-hailing service has continued to grow at a record pace, supported by rising demand and expanding city coverage. Last month, the company launched service in its fifteenth U.S. city and announced new international cities as part of its broader commercial expansion strategy. The new capital will accelerate the continued expansion of the service across the United States and internationally, supporting both domestic and global growth objectives.
