ADT Inc. agreed to be acquired by Thrive Holdings in an all-cash transaction valued at about $15.3 billion in enterprise value. ADT stockholders will receive $10.00 per share in cash. The company provides security and smart home solutions to residential and small business customers in the U.S.
Transaction terms
ADT’s board unanimously approved the agreement. The price represents a 45.6% premium to the company’s closing price of $6.87 on October 27, 2026. Affiliates of Apollo Global Management provided the financing commitments.
ADT and Thrive
ADT has more than 150 years of security experience and more than 12,000 employees. Thrive Holdings operates more than 75 businesses across accounting, IT services, and the built environment. ADT will form the foundation of Thrive Holdings’ smart home security business after closing.
Privacy and operations
ADT’s data protection and privacy policies will remain unchanged. No new data sharing will occur without customer permission. ADT will operate independently until closing and then become a privately held company.
The merger is expected to close in the first quarter of 2027. It requires approval from ADT stockholders and U.S. antitrust clearance. The transaction is not subject to a financing condition.
