Starlink AI Acquisition Corporation and Spider Digital Technology Ltd. have entered into a definitive business combination agreement. The proposed deal values Spider Digital at US$250 million. It would take the Singapore-based cryptocurrency mining pool operator public in the United States.

Transaction structure

Upon completion, both companies would become wholly owned subsidiaries of a new public company called Spider Digital Technology Group. PubCo is expected to list in the United States. The agreement was signed on October 30, 2026.

Company context

Spider Digital is headquartered in Singapore and focuses on blockchain research and ecosystem development. It has built its mining pool operations on proprietary technology and a technical team. The company describes itself as one of the leading mining pool service providers globally.

How the mining pool works

Spider Digital runs its own proprietary mining pool system. It maintains independent block generation capabilities. The company does not share mining pool control rights or hashrate scheduling authority with third-party operators.

PubCo plans to file a Form F-4 registration statement with the SEC. The filing will include proxy materials for Starlink AI shareholders. After SEC clearance, the parties will seek shareholder and NYSE approvals.
