Holiferm and Organica UK have agreed to combine their businesses in a strategic transaction that creates an integrated platform spanning biosurfactant innovation, product formulation, and finished goods manufacturing. The combination brings together two British leaders in biotechnology and bio-based production while preserving an ongoing commercial partnership with Sadorp. Financial terms of the agreement were not disclosed, though the partners framed the move as a step toward expanding sustainable alternatives to fossil-based chemistry.


Strategic Rationale Behind the Combination

The combined entity will span ingredient development, advanced applications, product manufacturing, and commercialisation under a single operating approach. Both companies described the transaction as a demonstration of renewed strength in the UK biotechnology and bio-based production sector. Holiferm develops and manufactures nature-derived biosurfactants using proprietary fermentation technology, with research, development, and commercial production based in the North West of England. Organica formulates and manufactures biodegradable, non-hazardous household and cleaning products for established brands in the UK and international markets. Together, these capabilities form an end-to-end platform that gives global customers access to ingredient science, product development, and manufacturing expertise.

Operational Continuity and Role of Sadorp

The two companies have worked side by side since 2023 and will continue to operate from adjacent sites following the strategic combination. This setup provides room to expand production capacity, accelerate joint innovation, and pursue new growth opportunities in sustainable products. Sadorp remains an integral commercial partner, contributing established retailer relationships and commercialisation expertise that strengthen the route from product development to store shelf.

Chris Arthur, Owner of Organica UK, said the transaction marks an exciting new chapter for a business he has built over 28 years. He stated that joining forces with Holiferm combines Organica's heritage in high-quality formulation with the partner's biomanufacturing technology. Arthur described the partnership as natural and said it will provide customers with better and more sustainable cleaning solutions while maintaining trusted service and relationships.

Organica was advised by Debretts and Franklins, while Holiferm was advised by Brown Rudnick on the transaction. The combined group will focus on increasing the global availability of sustainable, cost-effective, and high-performance alternatives to fossil-based chemistry.
