FireFly Robotics, Inc. has taken a significant step toward becoming publicly traded by filing a registration statement on Form S-1 with the US Securities and Exchange Commission. The Salt Lake City-based developer of autonomous, all-electric robotic systems announced the filing on October 7, 2026, relating to a proposed direct listing of its common stock. FireFly Robotics has applied to list its shares on the Nasdaq Global Market under the ticker symbol FFLY, an important milestone in its corporate history.

Direct Listing Structure and Regulatory Path

The proposed direct listing will not involve the sale of new shares by FireFly Robotics, and the company will not receive any proceeds from the transaction. The listing is expected to proceed after the SEC completes its review, declares the registration statement effective, and Nasdaq approves the listing, subject to market and other conditions. Chardan is serving as financial advisor to the company in connection with the proposed direct listing.

Autonomous Technology and Target Markets

FireFly Robotics designs and manufactures autonomous, all-electric robotic systems for demanding turf and grounds environments. Its Autonomous Mowing Platform uses artificial intelligence and machine learning to help golf courses, sports fields, municipalities, and premium turf growers improve quality and manage labor constraints. The company has spent more than 15 years advancing from operator-assisted electric harvesting equipment to machines capable of perceiving, deciding, and acting with minimal human oversight.

Corporate History and Recent Rebranding

Founded in 2010 and headquartered in Salt Lake City, Utah, FireFly Robotics previously operated under the name FireFly Automatix, Inc. The company changed its name to FireFly Robotics, Inc. in June 2026, reflecting a sharper focus on robotics and autonomous capabilities. This rebranding aligns with its broader portfolio of machines designed to operate with reduced human intervention across golf courses, sports fields, municipalities, and premium turf environments.

Direct Listing Rationale and Market Access

Unlike a traditional initial public offering, a direct listing allows a company to become publicly traded without issuing new shares or raising capital at the moment of listing. For existing shareholders, this approach can offer a potential path to liquidity and may reduce certain underwriting costs compared with a conventional IPO. FireFly Robotics has not disclosed additional details about lockup arrangements, selling shareholders, or trading mechanics beyond the initial filing.

Path to Nasdaq and Investor Considerations

The registration statement is available on the SEC website but has not yet become effective, so the securities cannot be sold and offers to buy cannot be accepted until that time. FireFly Robotics has applied to list its common stock on Nasdaq under FFLY, though final timing depends on regulatory review and market conditions. The company is not selling shares in the direct listing, and investors must wait for the SEC and Nasdaq to complete their processes.

FireFly Robotics has reached a pivotal milestone in its corporate evolution by formally pursuing a public direct listing on Nasdaq. The move could provide greater market visibility for its autonomous, all-electric turf management technology without raising new capital through the listing itself, since the company is not selling shares. As the SEC review advances, market participants will watch for the effectiveness of the registration statement and any subsequent trading debut under FFLY.
