Exits MENA, a regional investment advisory firm, has announced its acquisition of private equity manager Avanz Capital Egypt (ACE) in a significant multi-seven-figure transaction. This strategic move, conducted in partnership with ACE's local management, aims to establish an integrated financial services group serving investors and businesses across the MENA region. The deal has already received initial approval from Egypt’s Financial Regulatory Authority, marking a key milestone in Exits MENA's expansion strategy.

Strategic Rationale and Integration

The acquisition is a cornerstone of Exits MENA's strategy to build a comprehensive financial ecosystem for the region's growing businesses. By integrating ACE's private equity and asset management expertise, the firm completes its platform for founders, SMEs, and institutional partners. This synergy is designed to create a more connected pathway between investment readiness, advisory services, and direct access to capital, fostering long-term value.

Continuity and Leadership

To ensure a seamless transition and maintain investor confidence, ACE’s current management team, led by CEO Haytham Wagih, will continue to oversee all operations. This approach provides stability for existing investors and clients, aligning the new structure with international private equity standards and ensuring operational continuity. The leadership team will also gain ownership participation, further aligning interests for future growth and talent retention.

Rebranding and Future Growth

Following the acquisition, Avanz Capital Egypt will be rebranded as Exits Manara, operating as the dedicated private capital and asset management subsidiary of Exits MENA. The new entity will continue managing the existing 'Manara 1' fund of funds, which is focused on supporting SMEs. Furthermore, Exits Manara plans to expand its assets under management by launching 'Manara 2 for Export Investments', a new vehicle targeting mid-sized exporting businesses.

A Broader Market Trend

This transaction reflects a growing trend in the MENA region where advisory platforms are acquiring asset management capabilities to build more resilient business models. As venture funding tightens, this strategy allows firms to secure more durable revenue streams beyond transaction fees alone. By acquiring an established manager, Exits MENA gains a licensed, bank-backed vehicle, which provides a faster route to scale than building a fund from scratch.

Addressing the SME Financing Gap

The expanded platform is strategically positioned to address the persistent financing gap faced by small and medium-sized enterprises across the Middle East and North Africa. According to the World Bank, SMEs in the region receive only about 8% of total bank credit, highlighting a significant market need. The new group aims to improve access to capital and support the development of deeper, more efficient private markets for these vital businesses.

This acquisition marks a pivotal transformation for Exits MENA, elevating it from a specialized advisory firm to a multifaceted financial group with direct investment capabilities. The deal's ultimate success will depend on the effective integration of its advisory and investment arms while maintaining strict governance and independence. This strategic expansion holds the potential to significantly impact the region's private capital landscape and foster sustainable SME growth across Egypt and beyond.
