DoorDash announced a definitive agreement to acquire Instacart for $65.00 per share. The deal values Instacart at about $17 billion. DoorDash operates a local delivery platform, while Instacart provides grocery technology.

Deal terms

Instacart stockholders can elect cash, DoorDash stock, or a mix. At least 75% of the total consideration will be cash. The price represents a 26% premium over the October 22, 2026 closing price.

Company context

Instacart partners with more than 2,200 retail banners and nearly 100,000 stores. DoorDash has facilitated over 10 billion consumer orders and operates in more than 40 countries. The deal combines DoorDash's delivery network with Instacart's grocery and fulfillment technology.

What changes

Consumers would gain access to more store choices on both apps. DashPass and Instacart+ members would pay one membership fee instead of two. Instacart shoppers could keep their flexibility and choose whether to take DoorDash orders.

The transaction is expected to close in late 2027 or the first half of 2028. It requires Instacart stockholder approval and regulatory clearances, including in Canada and Israel. Stockholders holding about 19% of Instacart shares have agreed to vote in favor.
