PT Global Digital Indonesia (GDI), an investment vehicle under Djarum Group’s GDP Venture, has assumed control of PT Narasi Citra Sahwahita, the company that operates Indonesian digital media outlet Narasi. The takeover was approved by shareholders and notified to Indonesia’s Ministry of Law on September 2, according to corporate information. The move extends Djarum’s growing presence in the country’s digital media industry and marks another consolidation under the group’s venture investment arm.


Transaction and Shareholding

According to corporate filings reviewed by DealStreetAsia, GDI now holds 6,910 of Narasi’s 6,911 shares, while PT Merah Cipta Media retains the remaining share. This gives GDI a 99.99 percent stake in the company, which has a paid-up capital of 6.91 billion rupiah. The filing also records changes to shareholders, directors, and commissioners following the transfer of control, although the transaction value was not publicly disclosed.

Regulatory Approval and Disclosure

The announcement was published in Harian Neraca and cited the company’s obligation under Law Number 40 of 2007 concerning Limited Liability Companies. It also referred to provisions that require public notice of takeover plans before the transaction can be finalized and approved. Shareholders approved the change before it was officially notified to Indonesia’s Ministry of Law, confirming GDI as the new controlling entity.

Creditor Notice Period

The regulatory disclosure also provides creditors with a 14-day period to submit written objections regarding the planned acquisition. This requirement allows affected parties to raise concerns before the ownership transfer is fully completed and legally effective. The creditor notice mechanism reflects the company’s compliance with Indonesia’s corporate transparency rules for planned takeover transactions.

Leadership and Founders

Catharina Davy Sopamena is listed as president director, Dahlia Citra Buana as director, and Antonny as commissioner. Antonny Liem is a founding partner at GDP Venture, linking the new leadership directly to Djarum’s investment arm. Narasi was founded in 2018 by Najwa Shihab, Dahlia Citra, and Catharina Davy, and it has since become a recognized name in Indonesian digital journalism and factual content.

Strategic Expansion

The takeover gives Djarum control of another established Indonesian digital media platform following its reported acquisition of Kumparan. GDI had previously backed Narasi alongside Go-Ventures, which later became Argor Capital. DealStreetAsia reported in December 2024 that Djarum acquired Kumparan as Argor Capital exited, making GDP Venture the sole shareholder, and the Narasi move continues a similar strategy.

Portfolio and Market Position

GDP Venture’s current portfolio shows a broad exposure to media and entertainment, including IDN Times, IDN Pictures, Popbela, Popmama, Bolalob, Duniaku, 88t, 12Wired, Now United, Visinema, and Yummy. The group already holds Narasi and Kumparan alongside these platforms, reflecting a coordinated and expanding investment approach. This expansion highlights the group’s intention to strengthen its position in Indonesia’s digital content ecosystem and reach a wider audience.


The acquisition of Narasi consolidates Djarum Group’s influence in Indonesia’s digital media landscape and deepens its existing relationship with the outlet. It follows a broader pattern of strategic investments in news, content, and entertainment platforms under GDP Venture. As the media sector becomes more competitive, such moves position Djarum to play a larger role in shaping the country’s digital information ecosystem.
