PicPay has received the final regulatory green light from Brazil's Central Bank to acquire the digital insurance company Kovr. This pivotal approval concludes a complex regulatory process, enabling the digital bank to finalize the transaction. The acquisition marks a significant step in PicPay's strategy to broaden its financial services portfolio and deepen its presence in the competitive fintech landscape.
Securing Final Regulatory Hurdles
The Central Bank's authorization was the last remaining requirement for the deal to proceed, following earlier approvals from key regulatory bodies. In May, both the Administrative Council for Economic Defense (Cade) and the Superintendency of Private Insurance (Susep) had already sanctioned the acquisition. With all necessary licenses secured, PicPay can now move forward with the final closing procedures for the purchase.
Strategic Expansion into Insurance
The integration of Kovr is set to significantly enhance PicPay's offerings in the burgeoning insurance sector. Kovr brings its proprietary technology, a diverse range of insurance products, and an established client portfolio to the digital bank. According to PicPay CEO Eduardo Chedid, Kovr's operations are highly complementary to the company's existing insurance framework and growth ambitions.
This strategic purchase also includes Estrutural Corretora, which will allow PicPay to enter the insurance brokerage segment for the first time. This move signals a clear intention by the J&F-controlled digital bank to build a comprehensive financial ecosystem. A Complex Transactional History
The path to approval was not without its challenges, as the deal attracted scrutiny from competition authorities. Cade's approval in May was accompanied by concerns regarding potential "gun jumping," the practice of finalizing a deal before regulatory consent. The agency also raised questions about the transaction's financing and a possible "financial triangulation" scheme designed to obscure the true seller.
Suspicions arose from a rapid series of ownership changes that occurred just before the sale to PicPay. Kovr was first sold by its parent company to a group of its executives, who then resold it to PicPay two months later. The timing and a loan from PicPay to the sellers matching the sale price prompted Cade to investigate a potentially disguised direct sale.
The Shadow of Banco Master
Kovr's convoluted history is directly linked to the financial turmoil of its former controller, Banco Master. The insurer was spun off from the conglomerate in 2025 during a reorganization preceding a failed sale of Banco Master to another bank. The subsequent extrajudicial liquidation of Banco Master provides context for the rapid transactions that drew significant regulatory attention during the review process.
Despite the complex background and regulatory hurdles, PicPay has successfully navigated the approval process for its acquisition of Kovr.
