Ola Electric founder Bhavish Aggarwal has pledged a 4.32% stake in the electric two-wheeler maker to finance his subscription to the company's upcoming ₹1,000 crore rights issue. The disclosure was made through a stock exchange filing on Sunday, days after the board approved the capital raising plan. The move is designed to keep his ownership stake intact while the company strengthens its balance sheet amid rising competition.


Pledge Details and Shareholding Structure

The filing shows that Aggarwal pledged 20 crore shares as security against non-convertible debentures issued by Krutrim Data Centre Private Limited, a non-operative promoter entity owned by Aggarwal, to CTL Trusteeship Limited. Ola Electric clarified that no shares are being sold, no other pledges exist on his holdings, and Aggarwal will subscribe to the issue on the same terms as all other shareholders. Aggarwal and the promoter group together held 32.97% of the company as of June 2026, with Aggarwal individually owning 26.52%.

The pledged stake had a market value of approximately ₹741 crore at Friday's closing price of ₹37.08, giving Ola Electric a market capitalization of ₹17,162.14 crore. However, the company noted that this value should not be interpreted as the amount Aggarwal will invest, since the issue price, entitlement ratio, record date, timing, and payment schedule remain undisclosed. The board approved the rights issue last week but has yet to finalize these key terms.

Use of Proceeds and Recent Fundraising

According to the Draft Letter of Offer, about ₹350 crore of the proposed rights issue proceeds will be used for repayment or prepayment of debt, while ₹400 crore will support organic growth initiatives. The remaining amount will be directed toward general corporate purposes. This fresh capital follows a ₹780 crore qualified institutional placement completed in June, which formed part of a larger ₹1,500 crore fundraising plan approved last year.

Market Pressures and Financial Position

Ola Electric is raising capital at a challenging moment for its core business, as intensifying competition from legacy players and newer rivals has pressured sales. The company recently slipped to fifth place in monthly vehicle registrations, trailing TVS Motor, Bajaj Auto, Hero MotoCorp, and Ather Energy. In Q1 FY27, revenue declined to ₹455 crore from ₹828 crore in the same period a year earlier, though losses narrowed to ₹336 crore.

Despite the financial headwinds, Ola Electric continues to pursue capital sources to maintain liquidity, support operations, and meet its debt obligations. The proposed rights issue gives existing shareholders an opportunity to participate on equal terms alongside the promoter group. The company's ability to sustain investment is central to its efforts to regain momentum in India's growing electric two-wheeler industry.

Governance and Founder Commitment

The board has also moved to improve internal oversight by appointing Deepa Bansal as its new compliance chief. This governance change accompanies a capital strategy that includes both institutional and rights issue routes. Aggarwal's pledge is intended solely to fund his subscription, and the company has emphasized that no other pledges currently exist on his securities.


By pledging part of his stake, Aggarwal is aligning his personal capital with Ola Electric's plan to raise up to ₹1,000 crore and defend its position in India's electric two-wheeler market. The transaction does not involve a sale of shares, and the company has stated that the promoter will invest alongside other shareholders on identical terms. The proposed rights issue, still subject to final pricing and timing decisions, represents another balance-sheet cushion after a period of revenue decline and intensifying competitive pressure.
