Yellow.ai, a global leader in enterprise agentic AI, has announced a definitive agreement to go public through a merger with Bluerock Acquisition Corp. The transaction implies a pro forma equity value of approximately $550 million for the combined entity. Upon closing, the company will operate as Yellow.ai and is expected to trade on The Nasdaq Capital Market under the ticker symbol "YAI", marking a significant step in its corporate journey.


Pioneering Enterprise Agentic AI

Founded in 2016, Yellow.ai has established itself as a category leader by developing an AI platform that moves beyond assisting humans to autonomously performing tasks. The company's technology currently powers 16 billion conversations annually for over 650 enterprise clients, generating more than $34 million in unaudited revenue last fiscal year. This scale demonstrates the successful production of its founding thesis that enterprise software would evolve into intelligent agents that execute work.

The company's Nexus platform operates on multiple AI models, ensuring it is not locked into a single provider and improves with every interaction. Supporting over 135 languages in more than 85 countries, the platform offers extensive global reach and integrates with over 100 enterprise systems. Its fastest-growing product, Nexus Vox, delivers low-latency, human-like voice agents, addressing the expanding frontier of enterprise contact centers and customer service automation.

Strategic Market Positioning

This public listing is timed to capitalize on a major reallocation within the enterprise sector, specifically the shift from human-delivered to AI-delivered customer experience. The company is targeting the $384 billion Business Process Outsourcing (BPO) market, a labor-intensive category where human agents still handle the vast majority of interactions. Yellow.ai aims to lead this transformation by providing a platform that automates and resolves complex customer service issues autonomously.

Projections indicate the BPO market will reach $906 billion by 2035, with the AI agent sub-segment expected to grow from $12 billion to $295 billion. Yellow.ai's strategy is designed to capture this growth through a combination of organic expansion, strategic BPO acquisitions, and the development of proprietary industry-specific AI models. This multi-faceted approach positions the company to consolidate a fragmented market and drive significant value.

Transaction Details and Growth Capital

The business combination values Yellow.ai at a pre-money valuation of approximately $300 million and is expected to generate over $200 million in gross proceeds. This funding includes approximately $175 million of cash held in Bluerock's trust account, assuming no redemptions, and a committed $30 million PIPE financing from institutional investors. The deal has received unanimous approval from the boards of both companies and is subject to customary closing conditions.

Yellow.ai intends to use the proceeds to accelerate investment in its agentic AI platform and expand its enterprise sales footprint across North America and Europe. A key part of its strategy involves deploying capital for a disciplined M&A approach focused on acquiring and transforming complementary BPO operators. This will enable the company to convert traditional BPOs into AI-native operations powered by its advanced technology platform.

Leadership and Investor Confidence

Confidence in the company's direction is underscored by the fact that its founders and key management are investing their own capital in the PIPE alongside institutional investors. Raghu Ravinutala, CEO of Yellow.ai, stated that the platform enterprises trust to run AI agents will define the category. Ramin Kamfar, CEO of Bluerock, highlighted Yellow.ai's execution of a consolidation strategy in a market ripe for growth and margin expansion.
