Shiprocket Sets Price Band for Reduced INR 1,617 Crore IPO

Indian ecommerce logistics platform Shiprocket has filed its red herring prospectus for an initial public offering of up to ₹1,617 crore, reducing the issue size by about 30% from the ₹2,342.3 crore outlined in its updated draft prospectus. The IPO is scheduled to open for subscription on August 12 and close on August 14, with a price band of ₹92 to ₹97 per equity share. At the upper end of the range, the offering would value the Gurugram-based company at approximately ₹7,000 crore.


Revised IPO Structure

The public offering consists of a fresh issue worth up to ₹885.5 crore and an offer for sale of approximately ₹732 crore by existing shareholders. This represents a substantial reduction from Shiprocket's updated draft prospectus, which contemplated a ₹1,100 crore fresh issue alongside an OFS of roughly ₹1,242 crore. The revised structure means a greater proportion of the IPO proceeds will now come from newly issued shares rather than shareholder exits compared with the earlier proposal.

Founders and Investors Reduce Stakes

Shiprocket cofounders Saahil Goel, Gautam Kapoor, and Vishesh Khurana are among the shareholders participating in the OFS, with Goel and Kapoor each planning to sell shares worth ₹61 crore and Khurana offering approximately ₹20 crore. Private equity investor Lightrock is expected to be the largest seller, offering shares valued at around ₹272 crore, while Tribe Capital plans to sell approximately ₹120 crore worth of stock. Other participating investors include March Capital, 500 Global, Agility Global, and Moore Strategic Ventures, while Bertelsmann India Investments and Arvind Ltd are no longer participating in the sale.

Funding Growth and Expansion

Shiprocket intends to deploy proceeds from the fresh issue across technology infrastructure, marketing initiatives, potential acquisitions, debt repayment, and general corporate purposes. Founded in 2017 by Saahil Goel, Gautam Kapoor, Vishesh Khurana, and Akshay Ghulati, the company began as a logistics aggregation platform serving online merchants. It has since expanded into a broader ecommerce enablement business spanning shipping, warehousing, checkout, payments, marketing services, and cross-border commerce.

Financial Performance

The company's operating revenue increased 24% to ₹2,024 crore in the fiscal year ended March 2026, compared with ₹1,632 crore in the previous year. Despite the revenue growth, Shiprocket's net loss widened by more than 6% to ₹79.2 crore from ₹74.5 crore in FY25, while total expenses increased 23% to ₹2,153.4 crore. Merchant solutions remained the company's primary business, generating ₹2,008.1 crore in revenue, while the cost of providing those services rose 23% year over year to ₹1,494.1 crore.

Competitive Landscape

Shiprocket's planned listing would place it alongside publicly traded logistics and fulfillment companies operating in India's fast-growing ecommerce market. The IPO also arrives as technology-focused companies continue testing public-market demand following a broader revival in listings by venture-backed and digital businesses. Investors are likely to focus on Shiprocket's revenue growth, expanding service portfolio, path toward profitability, and ability to compete efficiently across an increasingly consolidated logistics market.


Shiprocket's ₹1,617 crore IPO represents a significant milestone for a company that has evolved from a shipping aggregator into a diversified ecommerce infrastructure provider. Although the smaller offering reflects a more conservative fundraising approach than initially proposed, the fresh capital could support further technology investment, expansion, acquisitions, and balance-sheet improvements.
