Ondas Inc. has announced a definitive agreement to acquire Cyberhawk, a global leader in infrastructure intelligence, in a deal valued at approximately $125 million. This strategic acquisition aims to merge Ondas' autonomous systems with Cyberhawk's drone-based inspection and AI analytics platform. The move is set to create a powerful dual-use technology provider for both industrial and defense markets, enhancing capabilities in critical sectors.

The acquisition propels Ondas into the expanding critical infrastructure sector, a key component of its long-term growth strategy. By integrating Cyberhawk, Ondas gains immediate access to a blue-chip customer base that includes major utility and energy firms like Shell and PG&E. Founded in 2008, Cyberhawk brings nearly two decades of expertise and a significant repository of proprietary data from over 500,000 asset inspections. This rich dataset is a critical foundation for advancing AI applications like predictive maintenance and automated defect detection.

Financial Strength and Future Operations

The $125 million transaction, expected to close in the third quarter of 2026, will be funded primarily with cash. Cyberhawk is projected to generate over $45 million in revenue by its fiscal year ending March 2027, with a robust $95 million backlog. The company's strong financial profile is underpinned by a 95% recurring revenue model from multi-year contracts and software subscriptions.

Following the acquisition, Cyberhawk will continue to operate its existing businesses without interruption, with Ondas committed to investing in its team and technology. Chris Fleming, Cyberhawk's founder and CEO, expressed excitement about joining forces to accelerate the adoption of autonomous inspection technology.
