NIQ Launches Friendly Bid to Acquire The U Group

The offer would add ReceiptJar’s consumer purchase data and AI capabilities to NIQ.

NielsenIQ, or NIQ, has launched a conditional friendly takeover offer for Australian consumer data company The U Group & Co Limited through its wholly owned subsidiary Nielsen Connect Australia. The proposal seeks to acquire all outstanding shares in The U Group, which operates the ReceiptJar app and specializes in consumer-consented purchase data, receipt intelligence, and AI-powered data processing. The transaction is intended to strengthen NIQ’s consumer intelligence capabilities by adding new sources of real-world shopping data to its existing analytics and measurement infrastructure.


NIQ Moves to Acquire The U Group

NIQ Australia has lodged its Bidder’s Statement with the Australian Securities and Investments Commission and distributed the offer documentation to The U Group’s shareholders. The U Group’s board has unanimously recommended that shareholders accept the offer based on the considerations detailed in its Target’s Statement. The transaction remains conditional on NIQ securing at least 90% shareholder acceptance, alongside other customary conditions required to complete the takeover.

Expanding NIQ’s Consumer Data Capabilities

The proposed acquisition would give NIQ access to The U Group’s consumer-generated purchasing data collected through ReceiptJar and related technologies. ReceiptJar allows consumers to voluntarily submit purchase information, creating a first-party dataset that can provide additional visibility into shopping behavior across multiple retail categories. NIQ expects these signals to complement its existing consumer and retail measurement products and expand the range of information available to clients.

Supporting AI-Driven Consumer Intelligence

The companies are positioning the proposed combination around the growing importance of trusted data as artificial intelligence becomes more widely integrated into corporate decision-making. NIQ said The U Group’s technology could strengthen the data foundation supporting analytics, measurement, and AI-enabled services by incorporating additional consumer-contributed purchasing signals. The company sees this combination as an opportunity to improve its understanding of consumer behavior while supporting the development of new analytical products and decision-making tools.

Building on an Existing Partnership

NIQ and The U Group already have an established commercial relationship, with NIQ Executive Chairman and CEO Jim Peck saying the companies have worked together for five years. Peck said NIQ is familiar with the technology and data capabilities developed by The U Group and believes combining the businesses could strengthen NIQ’s broader intelligence platform. The proposed acquisition therefore builds on an existing relationship rather than representing a completely new collaboration between the two companies.

ReceiptJar’s Role in the Transaction

The U Group, led by CEO Tyler Spooner, has developed ReceiptJar as a platform for collecting purchase information directly from participating consumers. Its technology applies AI-powered processing to receipt data, helping transform individual shopping records into structured consumer intelligence that can be used for analysis and measurement. Spooner said the proposed combination with NIQ could create additional opportunities by bringing together consumer participation, proprietary data, and AI-driven analytics.

Deal Remains Conditional

Despite the board’s recommendation, the acquisition has not yet been completed and remains subject to the acceptance threshold and other conditions outlined in the takeover documents. NIQ and The U Group will continue to operate independently until the offer becomes unconditional and the process required to acquire full ownership has been completed. The companies said there are currently no immediate changes planned for their products, services, employees, or client support arrangements.


NIQ’s proposed acquisition of The U Group reflects its broader strategy of expanding the data sources behind its consumer intelligence and analytics products. By adding ReceiptJar’s consumer-consented purchasing signals and receipt-processing technology, NIQ aims to deepen its view of purchasing behavior and strengthen the data infrastructure supporting AI-enabled analysis. Completion of the transaction will ultimately depend on shareholder acceptance and satisfaction of the remaining takeover conditions.
