Grindr Inc. (NYSE: GRND) announced on September 30, 2026, that it has agreed to acquire PurposeMed Inc., the parent company of Freddie, a telehealth provider focused on HIV prevention. The transaction is valued at US$250 million in cash and stock, with up to an additional US$70 million in cash contingent on performance targets. It is expected to close in the fourth quarter of 2026 and marks Grindr's first major acquisition since its founding.

Acquisition Accelerates Grindr Health

The deal advances Grindr Health, the company's health and wellness business, by bringing PrEP access directly into the Grindr app at little to no out-of-pocket cost for eligible users. Grindr aims to connect 10 million LGBTQ+ people globally to HIV prevention resources through the app by 2028. The acquisition will combine Freddie's clinical expertise with Grindr's reach, creating a more direct path for users to learn about, start, and maintain HIV prevention care.

Addressing the PrEP Access Gap

PrEP reduces the risk of HIV by approximately 99%, yet about 650,000 people in the United States are on the medication despite an estimated 2.2 million who could benefit. Freddie has helped more than 55,000 patients in Canada and the United States access PrEP and now serves patients in all 50 US states. The company estimates its patients' PrEP use prevents 385 new HIV transmissions each year, saving healthcare systems between US$270 million and US$580 million in treatment costs annually.

A Unified User Experience

Grindr plans to integrate Freddie with Woodwork, its existing performance medication offering, into a single Grindr Health experience. Users will be able to understand PrEP, review coverage, meet with clinicians, arrange testing, receive prescriptions, and manage ongoing care within the app they already use. Participation will remain entirely voluntary, with Grindr users choosing whether to access Freddie and Freddie patients choosing whether to use Grindr.

Financial Terms and Performance Targets

Under the agreement, Grindr will pay US$250 million, consisting of US$190 million in cash and US$60 million in Grindr common stock. An additional earnout of up to US$70 million in cash is tied to 2027 performance targets and would be payable in 2028. Freddie expects to generate more than US$80 million in revenue and over US$10 million in Adjusted EBITDA in 2026, while Grindr expects the acquisition to have an immaterial impact on its 2026 financial results.

Leadership Perspectives

Grindr CEO and Chairman George Arison said the tools to prevent HIV now exist, and new infections should be close to zero. He added that the main challenge is connecting people to PrEP and helping them stay on it. Freddie Co-founder and CEO Dr. Husein Moloo noted that Freddie was built to make HIV prevention simple and accessible, and that no one reaches the Freddie community like Grindr does.

A Broader Mission for the LGBTQ+ Community

The acquisition reflects a broader push to expand the Global Gayborhood in Your Pocket, a platform designed to reflect how LGBTQ+ people live, connect, and thrive. Freddie's leadership team will join Grindr to continue building the business as a core pillar of its health offerings. By integrating telehealth with a widely used social platform, the companies aim to improve access to affirming, judgment-free healthcare for a global community.

Grindr's planned acquisition of Freddie represents a major move into digital healthcare and HIV prevention for a platform used by nearly 16 million average monthly active users worldwide. The deal combines social reach with regulated telehealth services, potentially closing a significant gap in PrEP access for gay and bisexual men. If completed as expected in the fourth quarter of 2026, it could strengthen Grindr Health and advance the broader goal of ending the HIV epidemic.
