Ankur Jain, the founder behind the popular craft beer brand Bira 91, has officially stepped down from the board and all executive roles at its parent company, B9 Beverages. This significant development is the central component of a settlement agreement signed with the company's institutional investors and lenders, including major players like Peak XV Partners and Japan's Kirin Holdings. The resolution formally concludes a protracted and often contentious two-year dispute over the company's governance and financial management, setting the stage for a new chapter.

The Terms of the Settlement

Under the terms of the comprehensive settlement, Jain and the promoter family will completely divest from the company, surrendering their entire 17.8% shareholding and relinquishing all executive authority. In a crucial exchange, Jain will be released from substantial personal liabilities, most notably the personal guarantees he provided for company loans. This clean break also mandates the withdrawal of all legal proceedings that had been initiated by both sides, effectively wiping the slate clean from a legal standpoint.

A Path to Revival

The agreement was necessitated by a severe financial crisis that has engulfed B9 Beverages, leading to a complete halt in production and swelling its debt to an estimated ₹1,000 crore. With the dispute resolved, a clear path for revival is being charted, spearheaded by the company's existing financial backers. The plan involves a major recapitalization effort to inject fresh funds, which will be prioritized to settle outstanding statutory dues, employee salaries, and payments to vendors, with the goal of resuming operations within the next six months.

The Downward Spiral

The company's fortunes took a sharp downturn after it transitioned from a private to a public company in anticipation of an IPO. This structural change required B9 Beverages to reapply for excise licenses in various states, a bureaucratic hurdle that severely disrupted its production and supply chain, leading to a massive inventory write-off of approximately ₹80 crore. This primary issue was exacerbated by other strategic missteps, including reports of excessive spending on marketing, costly sponsorship deals, and expansion projects that outpaced consumer demand.

A Look Back at Bira 91

Since its founding by Jain in 2015, Bira 91 carved out a significant niche as one of India's pioneering and most successful craft beer brands. The company attracted substantial investor interest, raising over $200 million across multiple funding rounds and achieving a landmark revenue of over $100 million in the 2023 fiscal year. This history of rapid growth and strong brand recognition underscores the potential that investors are now banking on as they undertake the complex task of restructuring the business.

Ankur Jain's exit signifies a definitive turning point for B9 Beverages, closing a turbulent chapter defined by financial distress and stakeholder conflict. The responsibility for the brand's future now rests squarely on the shoulders of its investors and lenders, who are tasked with executing a challenging turnaround. As Jain transitions to a role of a supporter from the sidelines, the industry will be watching closely to see if the new leadership and capital infusion can successfully revive Bira 91 and restore its former market prominence.
