Global nutrition company Herbalife has announced an agreement to acquire the assets of Bioniq, a UK-based personalized supplements firm. The deal combines Bioniq's advanced biomarker-based technology with Herbalife's extensive global distribution network. This strategic transaction, valued at up to $150 million, aims to make data-driven health solutions more accessible to consumers worldwide.


A Strategic Move into Personalized Wellness

Bioniq, founded in 2019, specializes in creating personalized supplement formulas based on individual blood biomarker analysis. The company utilizes a patented engine and a proprietary database with over six million data points to address specific micronutrient needs. This science-driven approach caters to a wide audience, from general wellness consumers to elite athletes.

Herbalife CEO Stephan Gratziani emphasized that the future of wellness is increasingly personalized and informed by data. This acquisition aligns with Herbalife's vision to become a technology-enabled health platform, complementing previous strategic purchases. The integration of Bioniq's technology is expected to significantly expand Herbalife's capabilities in delivering customized wellness solutions.

Integrating Technology and Global Reach

As part of the agreement, Bioniq's founder, Vadim Fedotov, will transition to Herbalife's leadership team. Key members of the Bioniq staff will also join the global nutrition company, ensuring a smooth integration of their expertise. This move will embed Bioniq's proprietary algorithm and formulation capabilities directly into Herbalife's innovation ecosystem.

The primary synergy of the acquisition lies in combining Bioniq's advanced platform with Herbalife's established global infrastructure. With a presence in 95 markets and a network of over two million distributors, Herbalife can rapidly scale Bioniq's offerings. This partnership is poised to accelerate the delivery of personalized health solutions to millions of customers globally.

High-Profile Endorsements and Market Expansion

The deal is notably supported by football superstar Cristiano Ronaldo, a longtime Herbalife partner and a Bioniq shareholder. He highlighted how personalized nutrition has been crucial to his athletic performance and praised the merger. Ronaldo expressed his excitement about making tailored health approaches more accessible to a wider audience.

Herbalife plans to begin offering Bioniq’s personalized supplements later this year through its independent distributors. The initial launch will target select countries in Europe and the United States, with a broader global rollout to follow. This phased approach will allow the company to strategically introduce the new products to its customer base.

Financial Details and Future Prospects

The financial terms of the transaction involve a purchase price of $55 million, which will be paid over five years. An initial payment of $10 million is scheduled at the closing of the deal. The agreement also includes up to $95 million in contingent payments tied to future performance milestones.

The acquisition also grants Herbalife a call option to acquire Bioniq LAB, a separate entity focused on small molecules and peptides. This option provides Herbalife with strategic flexibility to explore long-term growth opportunities in adjacent wellness sectors. It represents a disciplined, capital-efficient method for evaluating potential future expansion in advanced nutritional science.
