Impacta VC, in partnership with Oracle, has opened applications for the fifth edition of Modo Fundraising, a program designed to guide Latin American founders through the process of raising capital. The program is tailored for scalable, technology-based startups in the pre-seed, seed, and pre-Serie A stages that are planning to raise between US$500,000 and US$5 million. Since its inception, the initiative has supported over 400 startups from more than 20 countries, which have collectively raised over US$190 million.

• Format: 100% online.

• Selection Process: Applications are reviewed and selections are announced on a rolling basis. Early applications are encouraged as spots are limited.

Program Structure and Methodology

The curriculum is delivered over three months through four distinct phases, featuring one class, one mission, and one live interview each week. The methodology is designed to be practical, allowing founders to apply learnings directly to their fundraising efforts.
• Phase 1 - Get Ready & Sexy: Participants define their round's size, timing, and structure. The focus is on refining the company narrative, polishing the pitch deck, and building the necessary assets to engage investors. The expected outcome is a comprehensive round map and a professional deck.
• Phase 2 - Approach & Connect: This phase covers identifying the right investment funds for the startup's stage and vertical. The objective is to open conversations with investors through a structured targeting process, aiming for over 30 meetings.
• Phase 3 - Manage Momentum: Founders learn to build momentum among potential investors by managing timing, information flow, and creating a sense of urgency (FOMO) to accelerate the arrival of the first term sheet.
• Phase 4 - Closing the Round: The final stage focuses on negotiating terms, aligning the cap table, and successfully closing the round with the investors who will complete it and potentially participate in future rounds. The goal is to have a clear closing plan with sufficient investor commitments.

• David Alvo: Founder of Impacta VC, leads the program's core classes, drawing from over a decade of experience investing in Latin American startups.
• Yoel Chlimper: Founder of Lucha, serves as a guest instructor specializing in investor-ready storytelling and narrative development.
• Nathan Beckord: Founder of FounderSuite, provides a guest class in English on how to approach, manage, and close investors.
• Program Operations Team: The cohort's day-to-day operations are managed by Macarena Cerenic (Program Director), Nicole Macchiavello (Program Coordinator), and Lola Wong (Partnerships).

Premium Advisory Sessions

An optional add-on, the Impacta Advisory Sessions, offers one-on-one guidance that runs in parallel with the main program. Advisors include:
• Corinne Lebrun: Managing Partner at Impact Ventures PSM Seed, specializing in startups with an impact thesis.
• Victor Lau: Managing Partner at Impact Ventures PSM Seed, with expertise in business valuation, structuring, term sheets, and cap tables.
• David Alvo: Founder & Managing Partner at Impacta VC, advising startups aiming to raise US$2 million or more.

Investment and Costs

• Upfront Payment: A one-time payment of US$837, which is equivalent to US$279 per month.
• Monthly Payment: An alternative option of US$349 per month for three months.
• Team Access: A single fee provides access for up to five members of the startup's team.
• Refund Policy: A money-back guarantee is offered until July 14. After this date, participants may cancel future payments but will not be refunded for the current period.
• Investment Rights: Impacta VC reserves a 20% right of investment in rounds secured by participating startups, although an investment is not guaranteed.
