The proposed merger unites Valerio's proprietary sdAb-targeting platform with Etherna’s expertise in mRNA and lipid nanoparticle (LNP) delivery. This powerful combination is designed to deliver nucleic acid therapies to specific cells beyond the liver. This transaction addresses a key industry bottleneck by incorporating Etherna’s in-house GMP manufacturing and CMC capabilities. Completion of the deal is subject to customary conditions, including regulatory clearance and final documentation. Shareholder approval for the share consideration is already secured by voting undertakings from over 70% of voting rights.
