Serve Robotics, a prominent company in autonomous sidewalk delivery, has announced a definitive agreement to acquire Diligent Robotics, a pioneer in AI-powered assistants for the healthcare industry. This strategic transaction marks Serve's expansion from outdoor, last-mile logistics into complex indoor environments. The move is set to transform the company into a comprehensive, full-stack autonomy platform with a significantly broadened market opportunity.

A Strategic Entry into Healthcare

Diligent Robotics is the creator of Moxi, an autonomous robot designed to support nurses and hospital staff with logistical tasks. Moxi is already one of the largest commercial deployments of mobile manipulation robots, with nearly 100 units active in over 25 U.S. hospitals. These robots have successfully completed more than 1.25 million deliveries, demonstrating their reliability and value in clinical settings.

The acquisition provides Serve with an immediate foothold in the high-value healthcare sector, adding a proven and revenue-generating product line. Each hospital facility deploying Moxi robots is expected to generate between $200,000 and $400,000 in annual sales. This diversification beyond sidewalk delivery validates new use cases and is expected to improve the company's blended fleet economics.

Unifying Platforms for Accelerated Learning

A key benefit of the merger is the creation of a shared autonomy and AI stack, which will power both Serve's delivery robots and Diligent's Moxi. This integration will establish a powerful data flywheel, where every robot learns from the experiences of the entire fleet. The combined effort brings together two mission-driven teams focused on deploying human-centric robots in real-world settings.

By operating in dense, multi-level indoor spaces like hospitals, the platform will gather valuable data on navigating complex human environments. This shared intelligence will accelerate learning, compress deployment timelines, and enhance the capabilities of all robots on the network. The synergy is expected to extend the platform's reach into other industries requiring sophisticated indoor navigation and manipulation.

Transaction and Leadership Structure

The transaction consists of Serve Robotics common stock valued at $29 million, with a potential earn-out of up to $5.3 million based on achieving specific milestones. The deal, which includes customary representations and covenants, is expected to close in the first quarter of 2026. This acquisition leverages Serve's public platform to scale a proven robotics solution.

Following the acquisition, Diligent Robotics will operate as a subsidiary of Serve, ensuring operational continuity. Diligent's co-founder, Andrea Thomaz, will continue to lead the division, maintaining the expertise and vision that made Moxi successful. This structure is designed to foster innovation while integrating shared supply chains, technology infrastructure, and operational excellence for long-term efficiency.

Ultimately, Serve Robotics' acquisition of Diligent Robotics represents a significant step toward creating a unified infrastructure for autonomous systems. By combining outdoor delivery with indoor assistance, the company is building a versatile platform capable of operating across diverse and critical environments. This merger is poised to advance a people-plus-robots model, accelerating the integration of practical robotics into daily life.
