RAIN Enters Binding LOI to Combine with Tensor Networks

All-stock deal expected to close in Q1 2027 with Tensor Networks holders owning about 90 percent

Rain Enhancement Technologies Holdco, Inc. (NASDAQ:RAIN) and Tensor Networks, Inc. have entered into a binding letter of intent for a business combination that would make Tensor Networks part of RAIN's publicly traded holding company. The all-stock transaction is expected to close in the first quarter of 2027, subject to customary conditions. A minimum of $25 million in gross proceeds from an equity or equity-linked financing is a condition to closing.

RAIN Chairman Harry You said the corporate structure was designed to allow the company to acquire additional businesses or assets alongside Rain Enhancement Technologies, Inc. He described Tensor Networks as a cutting-edge technology company whose infrastructure security focus is becoming a defining issue as AI adoption accelerates. RET's work with data center customers is accelerating, and water remains an increasingly important part of that infrastructure conversation.

How the Combination Will Operate

Upon closing, RET and Tensor Networks would each continue to operate as a wholly owned operating subsidiary of RAIN, pursuing its own commercial strategy under its own management team. RAIN would become a multi-technology holding company, not a combined rainfall and artificial intelligence business. The operating companies will leverage shared general and administrative resources.

Transaction Structure and Financing

The all-stock transaction provides for 100 percent of Tensor Networks securities to roll into RAIN. Tensor Networks equity holders are expected to own approximately 90 percent of the fully diluted equity of the combined company, with existing RAIN shareholders retaining approximately 10 percent before dilution from the contemplated financing. A minimum of $25 million in gross proceeds from an equity or equity-linked financing is a condition to closing, with net proceeds expected to fund Tensor Networks growth and working capital.

Leadership and Governance

Eric Frazier, Founder and Chief Executive Officer of Tensor Networks, will become Chief Executive Officer of RAIN. Randy Seidl, current CEO of RAIN, will become President, with both reporting to the Board of Directors. RAIN insiders, Tensor Networks insiders and Tensor Networks employees will be subject to lock-up agreements of 12 to 18 months following closing.

Technology and Market Context

Tensor Networks develops predictive AI infrastructure technology, including its patent-pending Predictive Tensor Control Plane and Tensor Network Quantum Gravity frameworks. The company describes its approach as Safe AI, using predictive workload orchestration with topological caging and independent hardware boundaries designed to help contain threats. The company has developed and tested the technology in part through three U.S. Air Force contracts it has been awarded and delivered against.

About the Companies

Rain Enhancement Technologies, Inc. develops, manufactures and commercializes ionization precipitation generation technology that enhances rainfall and snowpack to address water scarcity challenges. Tensor Networks, founded in 2019 and based in Sunnyvale, California, focuses on predictive AI infrastructure and has submitted post-provisional utility patent applications in 2026. Both companies would remain separate operating subsidiaries under the RAIN holding company platform after closing.

Completion remains subject to due diligence, negotiation and execution of a definitive transaction agreement, Nasdaq granting RAIN's pending request for continued listing and Nasdaq approval of the combined company's initial listing application. White & Case LLP is serving as legal counsel to RAIN, with TCF Law Group PLLC serving as Massachusetts legal counsel to RAIN. Ashurst Perkins Coie is serving as legal counsel to Tensor Networks.

The binding letter of intent provides a framework for a definitive agreement, with the minimum $25 million financing condition intended to support Tensor Networks growth.
