Nscale Limited, a full-stack AI cloud platform, announced on September 25, 2026 a $3.36 billion convertible loan note financing led by Third Point. The round includes participation from NVIDIA, funds managed by Apollo, Citadel, Hudson Bay Capital, Abu Dhabi Investment Council, and 8090 Industries. The capital will support the company's expanding AI infrastructure operations across the globe.


Financing Structure and Terms

The financing consists of an initial $2.36 billion tranche at closing and an additional $1 billion commitment from NVIDIA expected in mid-November 2026. The loan notes will automatically convert into ordinary shares upon the completion of Nscale's initial public offering, while NVIDIA's notes will convert into non-voting shares. Goldman Sachs & Co. LLC acted as placement agent for the transaction.

Leading technology and financial institutions joined the round, including funds managed by Apollo, Citadel, Hudson Bay Capital, and the Abu Dhabi Investment Council. 8090 Industries also participated, alongside several other investors with deep experience in technology and infrastructure markets.
