Mumbai-based fintech Mintoak has completed the strategic acquisition of ICC Loyalty, a Dubai-headquartered leader in rewards technology, marking a significant expansion of its service offerings. This pivotal move transitions Mintoak from a merchant payments specialist to a comprehensive platform for customer engagement and data monetization. The combined business is set to generate over US$30 million in annual revenue, establishing a powerful new entity in the global financial services landscape.


A Strategic Union of Payments and Loyalty

The acquisition, funded primarily from Mintoak's balance sheet with a minor debt component, will see ICC Loyalty operate as a wholly-owned subsidiary while retaining its current team. Mintoak's leadership noted that ICC was selected from nearly 50 potential companies due to its consistent profitability, prestigious banking clientele, and complementary focus on the consumer side. This union creates a robust business with a profitability margin exceeding 30%, signaling strong financial health from the outset.

Expanding Global Footprint and Synergies

This deal immediately broadens Mintoak's operational reach across the Middle East, Africa, Eastern Europe, and Asia, reinforcing its already strong international business. The primary synergy involves cross-selling Mintoak's merchant engagement platform to ICC's extensive network of over 30 banks, including Emirates Islamic and RAKBANK. Simultaneously, Mintoak will integrate ICC's loyalty and rewards infrastructure for its own partners, such as HDFC Bank, Axis Bank, and Absa Bank.

At the heart of this acquisition is a strategy to unlock the commercial potential of combined data assets, moving beyond commoditized payment processing. Mintoak will merge its deep insights from merchant transaction data with ICC's rich consumer data on spending behavior and loyalty program engagement. According to CEO Raman Khanduja, this unified dataset is the key to building a future centered on "engagement, intelligence and monetisation" for banking partners.

The integrated platform will leverage the combined datasets to power sophisticated, AI-driven tools for its banking clients. These tools will enable hyper-personalized offers, precise merchant benchmarking, and highly targeted marketing campaigns, creating new revenue streams for financial institutions. Amit Narang, CEO of ICC Loyalty, highlighted that this integration will deliver "next-generation hyper-personalisation" and more meaningful customer experiences for their shared client base.

The combined entity now serves an impressive roster of over 50 banks across more than 20 countries, supporting a network of five million merchants and eleven million customers. This extensive ecosystem processes an annual payment volume exceeding US$93 billion, underscoring the platform's capacity and market penetration. By providing a unified Payments and Engagement OS, Mintoak aims to help banks create greater value for merchants, consumers, and their own operations.
