Global-e, a leading platform for global direct-to-consumer e-commerce, has announced its definitive agreement to acquire Passport Global Inc. for $350 million. This strategic acquisition of the US-based cross-border logistics company is set to significantly deepen Global-e’s standard logistics capabilities. The move aims to enhance the post-purchase experience for both merchants and their international customers, solidifying Global-e's market position.


Strengthening Global Logistics Infrastructure

The acquisition of Passport will integrate an advanced, asset-light multi-carrier network into Global-e's existing platform. This enhancement focuses on providing competitive best-in-class logistics across cross-border, domestic, and last-mile delivery segments. By leveraging Passport's infrastructure, Global-e will be better equipped to execute complex solutions like direct injection and consolidated returns, thereby delivering more scalable and cost-effective services to its clients.

Expanding Service Offerings and Market Reach

A key component of this deal is the expansion of Global-e's offering to merchant segments that require a non-Merchant of Record (non-MoR) solution. Passport will continue to provide its existing platform, allowing Global-e to cater to a more diverse range of businesses with different operational needs. This strategic diversification broadens Global-e's addressable market and reinforces its ability to provide tailored solutions for various e-commerce models.

Creating a Seamless End-to-End Experience

By taking greater control over critical logistics workflows, Global-e aims to create a more unified and seamless experience for its merchants. The integration is expected to improve fulfillment, delivery, and returns processes, providing end-to-end service delivery that includes streamlined duty clearance and customs brokerage. This holistic approach is designed to reduce shipping delays and discrepancies, ultimately enhancing reliability and customer satisfaction.

Leadership Vision and Integration

Nir Debbi, President of Global-e, stated that the acquisition represents a significant step in the company's strategy to deliver a complete logistics experience. Alex Yancher, Passport's Founder and CEO, echoed this sentiment, noting the partnership will accelerate their shared mission to simplify cross-border logistics on a global scale. Following the transaction's close, Yancher is expected to join Global-e's executive management team to lead the integrated Passport business.

Financial Terms of the Acquisition

Global-e has agreed to acquire Passport for an upfront consideration of $350 million, funded through a combination of cash on hand and company shares. The agreement also includes a potential contingent consideration of up to $75 million, subject to Passport achieving specific financial targets in 2026. The acquisition is anticipated to have a neutral to slightly positive effect on Global-e’s Adjusted EBITDA in the second half of 2026.
