GE HealthCare announced on October 5, 2026 that it has entered into a definitive agreement to acquire SOFIE Biosciences, a leading U.S.-based contract manufacturing organization for PET radiopharmaceuticals, from Trilantic North America for US$945 million in cash. The transaction is expected to close in the first half of 2027, subject to regulatory approvals and other customary closing conditions. Once completed, SOFIE Biosciences will become part of GE HealthCare's Pharmaceutical Diagnostics segment, strengthening the company's position in the U.S. radiopharmaceutical market.

Strategic Rationale and Market Opportunity

The acquisition establishes a direct footprint for GE HealthCare in the time-critical final mile of U.S. PET radiopharmaceutical supply. It also allows the Pharmaceutical Diagnostics segment to participate in high-growth areas beyond its own product portfolio. Demand for PET radiopharmaceuticals is expanding as innovative radiotracers and targeted therapies gain adoption in precision care.

Product Supply and Contract Manufacturing

GE HealthCare will continue to expand access to its proprietary F18 radiopharmaceutical products, including Flyrcado, while advancing its pipeline through SOFIE Biosciences and other established contract manufacturing organization partners across the United States. F18 labeled PET radiopharmaceuticals have a 110-minute half-life, which makes reliable, localized manufacturing essential for patient access. The acquisition therefore strengthens GE HealthCare's ability to deliver both existing and pipeline products in a time-sensitive market.

Manufacturing Footprint and Capabilities

SOFIE Biosciences operates a U.S. network of 15 contract manufacturing sites with 21 cyclotrons, alongside a theranostics-focused contract development and manufacturing organization site. These capabilities broaden GE HealthCare's reach across the radiopharmaceutical industry and help ensure reliable patient access to novel products. The addition also supports solutions along the entire theranostics pathway, including cyclotrons, imaging technology, digital workflow tools, and radiotherapeutics infrastructure.

Pipeline Potential and Patient Access

The acquisition includes U.S. rights to FAPI-74, a Phase III PET radiotracer being developed for pan-cancer imaging. GE HealthCare already holds rights to FAPI-74 outside the United States, and the asset has potential across oncologic and non-oncologic indications. Industry-wide, around 20 PET radiotracers and more than 30 radiotherapeutics are under development, making reliable contract manufacturing capacity increasingly important.

Leadership and Customer Continuity

Following the transaction close, SOFIE Biosciences will continue to operate as an independent manufacturing partner, supplying its existing product portfolio including products from other leading radiopharmaceutical providers. Kevin O'Neill, President and CEO of GE HealthCare's Pharmaceutical Diagnostics segment, said the acquisition is expected to support low double-digit growth and improve supply reliability. Patrick Phelps, President and CEO of SOFIE Biosciences, called the agreement an exciting step supported by Trilantic North America.

Financial Outlook and Advisors

GE HealthCare estimates that the transaction will be accretive to revenue growth, adjusted earnings before interest and taxes margin, and adjusted earnings per share in the first full year of ownership. The purchase price of US$945 million will be paid in cash. BofA Securities, Consello Financial LLC, and Solomon Partners Securities LLC served as financial advisors to GE HealthCare.

The acquisition of SOFIE Biosciences positions GE HealthCare to participate across the radiopharmaceutical value stream while strengthening reliable access to PET diagnostics and future theranostics. It combines manufacturing scale with a growing pipeline and deep customer relationships in the U.S. market. The deal reflects GE HealthCare's broader ambition to support precision care and improve patient outcomes as the radiopharmaceutical industry continues to expand.
