Faraday Future to Combine Robotics Business with AIxC in $200 Million Deal

Strategic upgrade positions FFAI as Robotaxi operator and Physical AI holding company.

Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) has announced a strategic upgrade that positions the company as a Robotaxi and embodied artificial intelligence cabin technology operator, alongside a Physical AI investment holding structure. As part of the plan, the company proposes to combine its robotics business with Nasdaq-listed AIxC at a market-based valuation of approximately US$200 million. The transaction is expected to make FFAI the single largest controlling stockholder of the newly named entity and support a standalone public listing.


Strategic Reorganization and Public Listing Structure

The boards of FFAI and AIxC have approved a non-binding term sheet for the proposed combination. AIxC will change its name to FF EAI Robotics Ecosystem Inc. on September 30, 2026, and its Nasdaq ticker will move from AIXC to FFR at the opening of trading that day. AIxC is expected to discontinue its crypto strategy entirely and become a pure-play robotics ecosystem company built on a Four-Core Full-Stack AI model.

Under the proposed structure, FFAI is expected to consolidate FFR's financial results into its own financial statements, subject to definitive agreements and applicable accounting standards. The arrangement includes an 18-month lock-up period for shares of the robotics business, reflecting FFAI's long-term confidence in the segment. The pre-transaction valuation of AIxC is approximately US$55 million, separate from the robotics business valuation.

Robotics Progress and Financial Projections

FFAI's robotics business has completed Phase One of its Built in USA Acceleration Program in less than one year. The company has advanced its One-Brain Multi-Form, Multi-Capability FF EAI Robot World 2.0 and launched 24 FCC-certified products across three robot forms, with customer deliveries underway. By the end of August, cumulative EAI Device sales and shipments reached 552 units, second quarter average robotics product gross margin exceeded 30%, and cumulative revenue reached approximately US$1.52 million.

Management projections for the standalone robotics business anticipate positive operating cash flow in the third quarter of 2028. Unaudited revenue is projected at approximately US$7.1 million in 2026 with positive gross margin and approximately US$45.17 million in 2027 at a 30.5% gross margin. Cumulative revenue from 2026 to 2030 is estimated at approximately US$1.98 billion, with cumulative EAI Device sales expected to exceed 130,000 units.

Automotive Strategy Upgrade and Shared Mobility

FFAI is shifting its automotive strategy from electric vehicle manufacturing toward Robotaxi shared mobility operations. The company plans to work with RoboShare to expand its Robotaxi business, including potential connectivity with the Cybercab network. It also intends to deploy its 3rd aiSpace EAI cabin technology in other intelligent vehicles and connect FF vehicles to Robotaxi networks.

Physical AI Holding Model and Value Creation

Following the transaction, FFAI plans to operate under a model inspired by Berkshire Hathaway and Alphabet, combining industrial operations, capital investment, and ecosystem collaboration. The company expects the standalone robotics platform to reduce reliance on substantially dilutive financing and lower FFAI's potential equity dilution. Four dimensions of value creation include strategic, business, financial, and capital value, supported by independent financing and clearer valuation of mature businesses.

Leadership Commentary and Next Steps

Founder and Global CEO YT Jia said the strategic upgrade gives FF an opportunity to be a driving force in automotive industry transformation. The parties are advancing definitive agreements, financing arrangements, and transaction closing in an orderly manner. At signing, FFAI and FFR plan to enter into an Investor Rights Agreement covering governance arrangements, including board nomination rights.


The proposed robotics combination at a US$200 million valuation marks a significant step in FFAI's transformation into a Physical AI investment holding company. FFR is expected to give investors a standalone platform to evaluate the robotics business and its path toward positive operating cash flow by the third quarter of 2028. If completed, the transaction may help FFAI unlock ecosystem value, reduce equity dilution, and accelerate value maximization for stockholders.
