Observability platform Dynatrace has announced a definitive agreement to acquire Arize in a significant cash and stock deal valued at $915 million. This strategic acquisition is set to merge Dynatrace's comprehensive platform with Arize's specialized AI observability tools. The combination aims to provide customers with an integrated, end-to-end solution for the entire AI application lifecycle, from development to production.


Addressing a Fragmented AI Landscape

The current landscape for AI software delivery is often fragmented, creating significant challenges for development and operations teams. AI engineers typically use one set of tools to evaluate model behavior, while application and infrastructure teams work in separate environments. This disconnect makes it difficult to trace issues when an AI application's output quality declines or a transaction fails.

By acquiring Arize, Dynatrace intends to eliminate this fragmentation by creating a unified system for AI observability. This integration will connect how an AI application is evaluated in development with its actual behavior in a live production environment. The goal is to provide a seamless feedback loop that helps developers debug and optimize AI performance more effectively.

Jason Lopatecki, CEO of Arize, stated that joining Dynatrace will significantly advance their mission of ensuring AI systems work correctly. Transaction Details and Financial Outlook

The $915 million transaction consists of approximately $815 million in cash and replacement equity awards for Arize employees joining Dynatrace. The acquisition is expected to close later this quarter or early in Dynatrace’s third fiscal quarter, pending regulatory reviews. Both of Arize's founders, Jason Lopatecki and Aparna Dhinakaran, will join the Dynatrace leadership team.

Financially, Dynatrace anticipates the deal will be accretive to its ARR growth by approximately 200 basis points for fiscal 2027. However, it is expected to be dilutive to the Non-GAAP Operating Margin by 175 basis points in the same period. The company projects incremental operating margin expansion from fiscal 2028 onwards as synergies are realized.
