Ten U.S. startups completed reverse mergers during Q3 2026, combining with existing public companies or public shells. Biotechnology dominated the group, accounting for six of the 10 transactions, while the remaining startups operated across AI and data infrastructure, robotics and automation, transportation and mobility, and defense technology.
Implied equity values could be established for seven transactions, totaling approximately US$2.03 billion. Alignment Engine had the largest disclosed value at US$500 million, followed by Obsidian Therapeutics at US$413.5 million and Marea Therapeutics at approximately US$351.9 million.
Methodology
This analysis covers U.S. startups that completed qualifying reverse merger transactions between July 1 and September 30, 2026. Completion dates reflect the legal closing of the transaction, rather than its announcement or the first trading day.
A qualifying startup must have been an independently founded, innovation-driven private business built around a scalable product, technology, platform, or business model before the transaction. Traditional businesses without a credible startup identity, subsidiaries of established corporations, internal reorganizations, and businesses that were already publicly traded as the operating startup before the transaction are excluded.
A U.S. startup is a private operating business whose principal headquarters were in the United States immediately before the transaction. For businesses with multiple headquarters or cross-border structures, classification considers where executive management and core operating activities were primarily based. U.S. incorporation, a U.S. stock market listing, or the location of the resulting public parent is not sufficient on its own to establish U.S. startup status.
A transaction qualifies as a reverse merger when a private startup combines with an existing public company or public shell and, based on ownership, control, management, operating business, or the economic substance of the transaction, the private startup becomes the dominant operating or economic side of the resulting public company. The legal description of a transaction as an acquisition, merger, share exchange, or business combination does not by itself determine classification. Conventional acquisitions in which the legacy public company remains the dominant business, IPOs, and SPAC business combinations are excluded.
Implied Equity Value represents the equity value attributed to the private startup under the publicly disclosed merger terms, generally based on the valuation used to determine the merger consideration or exchange ratio. Concurrent financing and any value attributed to the legacy public company are excluded. Where no explicit negotiated startup valuation is disclosed, the issuer-reported fair value of the merger consideration issued for the private startup may be used. Independent estimates derived solely by applying market or financing share prices to merger securities are excluded. A value is reported only when publicly disclosed transaction documents or issuer filings provide sufficient information to establish it; otherwise, it is reported as not disclosed.
Ticker symbols and trading venues describe the resulting public companies following completion. Trading under a new ticker or on a new market may begin after the legal closing date.
Key Findings From U.S. Startup Reverse Mergers in Q3 2026
Biotech Leads Q3 2026 U.S. Startup Reverse Mergers With US$1.49 Billion in Financing
The six biotechnology transactions were associated with approximately US$1.49 billion in private financing. Korsana Biosciences and Obsidian Therapeutics accounted for almost half of that amount, securing US$380 million and US$350 million, respectively. These financings made capital for drug development a central component of the transactions, alongside the startups’ transition into public-company structures.
Three Transactions Accounted for 62% of Disclosed Value
Alignment Engine, Obsidian Therapeutics, and Marea Therapeutics together accounted for approximately US$1.27 billion, or 62% of the US$2.03 billion in identifiable startup equity values. Although biotechnology led by transaction count, AI infrastructure startup Alignment Engine had the largest individual valuation at US$500 million. The other four startups with identifiable values accounted for the remaining 38%.
Public Trading Outcomes Varied Across the Transactions
Seven transactions resulted in Nasdaq-listed companies and one in an NYSE American-listed company. Light Across entered the public markets through OTCID-traded Sharing Economy International, while Blue Laser Fusion became an SEC-reporting public company without an exchange listing or OTC quotation at closing. The transactions therefore provided different levels of access to public trading, with Blue Laser Fusion illustrating how public-company status can precede a stock market debut.

Q3’s transactions show that the significance of a reverse merger extends beyond public-company status. For biotechnology startups, substantial financing was a central part of the deals. Elsewhere, the transactions redirected public vehicles toward new operating businesses. The practical outcomes depended on the capital secured, the ownership rights granted, and whether the resulting company’s shares were available for public trading.
