Basware has announced a binding agreement to acquire Trustpair, a leader in payment fraud prevention. This strategic move aims to create the industry's first comprehensive solution for end-to-end invoice-to-payment assurance. The acquisition directly addresses the escalating threat of AI-driven fraud, which is increasingly outpacing traditional human defenses in corporate finance departments.

Addressing a Growing Threat

Organizations globally face significant financial losses, with an estimated 8% of annual revenue lost to fraudulent activities. The rise of generative AI has made it easier for criminals to impersonate trusted suppliers and execute scams at scale. According to fraud experts, this has led to a sharp increase in document forgery, leaving many organizations unprepared.

In response to this evolving landscape, regulatory bodies in the US, UK, and EU are imposing stricter compliance measures. For instance, Nacha, which governs US bank-to-bank transfers, updated its rules to mandate stronger verification processes. These regulations place greater responsibility on businesses to proactively detect and prevent fraudulent payments before funds are transferred.

A Strategic Combination of Capabilities

The proposed acquisition unites two complementary strengths to form a powerful defense against financial crime. Basware specializes in confirming that an invoice is legitimate and properly approved for payment. Trustpair's technology then validates that the payment is directed to the intended supplier's verified bank account, closing a critical security gap.

This integration will significantly advance Basware’s vision of the “Perfect Invoice,” ensuring every transaction is both authentic and secure. By extending its Invoice Lifecycle Management offering, Basware will provide its customers with a new level of assurance. This end-to-end protection strengthens financial integrity from initial invoice receipt to final payment execution.

Operational Continuity and Future Strategy

Following the acquisition's completion, Trustpair will continue to operate as an independent entity within the Basware group. The company will retain its team, platform, and commitment to an open ecosystem that supports various ERP and treasury systems. This ensures that existing customers and partners will experience no disruption while benefiting from continued innovation.

By joining forces with Basware, Trustpair is poised for accelerated growth and enhanced capabilities. The company will gain access to Basware’s global reach and extensive resources, including shared intelligence from billions of invoices. This data will strengthen Trustpair's validation models, providing more robust fraud prevention for a wider customer base.

Industry and Leadership Perspectives

Basware CEO Jason Kurtz emphasized the dual nature of AI as both a productivity tool and a weapon for criminals. He stated that while Basware has long focused on protecting the invoice, this acquisition extends that protection through the payment. Together, the companies will offer unique end-to-end assurance that strengthens compliance across the invoice lifecycle.

Baptiste Collot, Co-founder and CEO of Trustpair, echoed this sentiment, highlighting the need for comprehensive protection. He noted that approving the right invoice is insufficient if the funds end up in the wrong account. Collot affirmed that the partnership will provide finance teams with stronger security across the full journey, from supplier onboarding to payment.

Industry analysts have also recognized the strategic value of this combination. Kevin Permenter, Research Director at IDC, described the move as a logical and timely fit that addresses a significant gap in the market. He noted that uniting these datasets creates a more contextual and proactive layer of risk assurance against sophisticated fraud.

The acquisition of Trustpair by Basware marks a pivotal development in the fight against corporate payment fraud. Expected to be finalized later in 2026, this transaction creates a formidable solution for ensuring financial integrity from invoice to payment. It positions the combined company to lead the market in protecting businesses against the evolving threats of the digital era.
