Banzai International has completed its acquisition of substantially all assets of ConnectAndSell, expanding its platform from AI-enabled marketing technology into sales acceleration. Effective July 2, the transaction adds ConnectAndSell’s technology, customer base, and most of its team to the Nasdaq-listed company. Banzai said the deal doubles its annual revenue on a pro forma FY2025 basis while adding a business that reported an 86% gross margin.

Deal Expands Banzai’s Revenue Base

ConnectAndSell generated $14.7 million in fiscal 2025 revenue and serves approximately 250 B2B organizations across financial services, healthcare, technology, and other industries. Its customers include Intuit, RingCentral, Truckstop, and SAP, with average revenue per customer reported at around $59,000. The acquisition gives Banzai a more direct role in the sales-execution stage, complementing its existing tools for customer engagement, demand generation, and measurement.

Transaction Terms and Financial Outlook

Banzai valued the purchase consideration at $13.2 million, equivalent to less than one times ConnectAndSell’s fiscal 2025 revenue. The consideration consists of $5.5 million in cash, a $1.8 million seller’s note due in one year, and $5.9 million in Class A common stock and pre-funded warrants priced at about $2.98 per share. While the transaction has closed, Banzai’s expectations for synergies, profitability, and cash flow remain forward-looking and dependent on integration and market conditions.

A Platform Built Around Live Conversations

ConnectAndSell focuses on helping B2B sales teams reach decision-makers through a combination of patented calling technology, AI-driven conversation intelligence, and sales coaching. The company says its platform facilitates 4.8 million live customer conversations annually and supports users in building an estimated $17.8 billion in annual sales pipeline value. Its platform also integrates with tools such as Salesforce, HubSpot, Microsoft Dynamics, Outreach, Salesloft, Gong, and Chorus, positioning it within broader enterprise sales workflows.

Integration and Cross-Selling Plans

The majority of ConnectAndSell’s 38 employees will join Banzai, bringing sales-technology and applied AI experience into the broader organization. Banzai expects the combined business to create cross-selling opportunities by introducing ConnectAndSell to its existing customers while offering Banzai’s wider portfolio to ConnectAndSell clients. The company also expects cost consolidation to create additional synergies by the end of fiscal 2026, with an anticipated contribution to profitability and cash flow in fiscal 2027.

Strategic Rationale

The acquisition reflects Banzai’s effort to build a broader revenue-generation software platform rather than operate solely as a marketing technology provider. By combining audience engagement and lead-generation products with tools designed to improve live sales conversations, the company is seeking to cover more of the B2B go-to-market workflow. The strategy will depend on retaining customers, integrating product capabilities effectively, and demonstrating that the expanded portfolio can drive measurable value across both customer bases.

ConnectAndSell gives Banzai a larger revenue base, high-margin recurring customer relationships, and a deeper presence in sales acceleration. The deal also adds a platform built to help commercial teams spend more time engaging qualified prospects and less time on manual outreach processes. For Banzai, the acquisition is a meaningful step toward a more integrated AI marketing and sales software offering, although its long-term impact will ultimately depend on execution after closing.
