AmyriAD Therapeutics Acquires Recognify Life Sciences

All-share deal adds RL-007 cognition program for schizophrenia and Alzheimer's disease

AmyriAD Therapeutics B.V., a clinical-stage biopharmaceutical company focused on cognition in central nervous system disorders, has acquired Recognify Life Sciences, Inc. and its lead clinical-stage program RL-007, also known as inidascamine. The all-share transaction makes Recognify shareholders, including atai Life Sciences, Catalio Capital Management, and Sudhoff Family Office, shareholders of AmyriAD. The acquisition expands AmyriAD's cognition pipeline while Ismidenon (AD-101) remains the company's lead Alzheimer's disease program.


Strategic Rationale

The acquisition strengthens AmyriAD's clinical-stage cognition pipeline while preserving Ismidenon as the lead Alzheimer's disease program. RL-007 adds a differentiated pro-cognitive mechanism with clinical-stage experience in Cognitive Impairment Associated with Schizophrenia, or CIAS. This creates a second development path in a large, underserved CNS indication and gives the company significantly greater depth within cognition.

RL-007 Clinical Profile

RL-007 is an orally administered, first-in-class pro-cognitive compound that modulates cholinergic, glutamatergic, and GABA-B receptor activity. It is designed to restore the balance of excitatory and inhibitory signaling that underlies cognitive dysfunction across multiple central nervous system (CNS) disorders. The compound has been studied in 500 subjects to date and has demonstrated a consistent safety and tolerability profile, with no evidence of sedation, weight gain, or extrapyramidal symptoms in its most recent Phase 2b study.

Development Plans

AmyriAD intends to optimize the RL-007 formulation and exposure, with an ongoing pharmacokinetic study initiated by Recognify to be completed by AmyriAD. Results from that study are expected in the first half of 2027. The company also plans to advance RL-007 in CIAS, an indication with no approved therapies specifically targeting cognitive impairment.

Clinical Evidence and Future Studies

Cognitive impairment is estimated to affect more than 80% of the approximately 24 million people living with schizophrenia worldwide. In the Phase 2b study with 242 subjects, RL-007 did not meet statistical significance on the MCCB neurocognitive composite at week 6, but numerical improvements were observed across several cognitive domains, including Symbol Coding, Speed of Processing, and Verbal Learning, along with directionally positive effects on functional capacity as measured by VRFCAT. The reformulated product and refined trial design will focus on the domains where the strongest signals were observed.

Alzheimer's Disease Expansion

Leveraging AmyriAD's existing clinical infrastructure, investigator network, and regulatory experience from the Ismidenon program, a Phase 2 study in mild-to-moderate Alzheimer's disease is planned for 2027 and 2028. This would broaden the RL-007 development strategy beyond schizophrenia. AmyriAD expects transition support from members of the Recognify team as it continues the program.

Leadership Perspective

Ranga Krishnan, M.D., Chair of the Board of AmyriAD, said RL-007 fits squarely into what AmyriAD was built to do. He noted that the company is a cognition company, with Ismidenon targeting cognitive decline in Alzheimer's disease and RL-007 adding clinical-stage depth through a differentiated mechanism and a second cognition indication. He added that the Phase 2b data taught the company about dose, exposure, and endpoint selection.

He noted that, as shareholders, the Recognify team looks forward to participating in the program's next chapter. The Recognify investors joining AmyriAD's shareholder base know the asset well and share conviction in its potential.

Transaction Terms

Under the terms of the agreement, AmyriAD acquired Recognify and the rights and assets associated with RL-007. The transaction included an equity-based consideration structure with additional consideration linked to future development milestones. AmyriAD will support the continued development of RL-007, including completion of the ongoing pharmacokinetic study, and Recognify will operate as a wholly owned subsidiary of AmyriAD Therapeutics.


The acquisition positions AmyriAD to advance a broader cognition portfolio across schizophrenia and Alzheimer's disease. Former Recognify shareholders, including atai Life Sciences, Catalio Capital Management, and Sudhoff Family Office, now hold an interest in AmyriAD. The company expects to apply learnings from earlier studies to a reformulated product and a sharper clinical program.
