AlphaTON Capital Corp. has announced a definitive agreement to acquire a 60% controlling interest in the mobile gaming platform GAMEE, a subsidiary of Animoca Brands. This major acquisition is coupled with the formation of a strategic alliance between AlphaTON and Animoca Brands, aimed at scaling the Telegram super-app ecosystem. The transaction is designed to significantly accelerate monetization and user engagement within the rapidly expanding Web3 landscape.


A Strategic Play for Telegram's User Base

GAMEE represents a significant asset, boasting over 119 million registered users and more than 10 billion gameplay sessions to date. The platform has a particularly strong presence within the Telegram ecosystem, where it currently serves over 61 million users. This established user base provides a powerful foundation for AlphaTON's strategic objectives in the social gaming sector.

The acquisition provides AlphaTON with immediate and scaled access to Telegram’s vast audience of approximately one billion addressable users. This move is expected to create a distribution advantage that is unmatched among publicly traded digital asset companies. It strategically positions AlphaTON to leverage GAMEE's integration for widespread user adoption and engagement on the platform.

Forging a Web3 Powerhouse Alliance

Concurrent with the acquisition, AlphaTON and Animoca Brands have formalized a strategic alliance to identify and pursue new commercial opportunities. This partnership combines AlphaTON’s focus on the Telegram ecosystem with Animoca Brands' extensive Web3 portfolio and industry relationships. Both companies share a commitment to advancing digital property rights and making Web3 more accessible through mainstream platforms.

Leaders from all three companies expressed a unified vision for the collaboration. AlphaTON CEO Brittany Kaiser highlighted the deal as a gateway to the next billion Web3 users, while GAMEE founder Bozena Rezab emphasized the mission to turn players into stakeholders. Animoca Brands' Yat Siu reinforced the belief that gaming is the 'killer app' for blockchain adoption.

Structuring the Landmark Deal

The transaction values GAMEE at $18 million, with AlphaTON set to acquire its controlling stake for a total consideration of up to $11 million. The deal is structured with performance-linked earn-outs over a two-year period, contingent on achieving specific EBITDA targets. This structure is designed to mitigate upfront risk while incentivizing future growth and profitability for the gaming platform.

The initial consideration at closing amounts to $3.5 million, composed of cash, ATON shares, and pre-funded warrants. The agreement also includes the transfer of a significant amount of digital assets from Animoca Brands' treasury, including over 878 million GMEE tokens and 20 billion WAT tokens. This provides AlphaTON with substantial digital resources to support the platform's growth.

Continuity in Leadership and Operations

To ensure a smooth transition and continued operational success, the entire GAMEE team is expected to remain in place. Martin Zakovec will continue as CEO, while founder Bozena Rezab will transition into a new strategic role as Head of AlphaTON Gaming. The new board will consist of two members from AlphaTON and one from Animoca Brands, reflecting the new partnership.


This acquisition and strategic alliance mark a pivotal moment for the integration of Web3 gaming into mainstream social platforms. By leveraging GAMEE's established user base on Telegram, AlphaTON and Animoca Brands are poised to drive significant growth and advance the cause of digital ownership. The transaction, subject to customary closing conditions, is expected to be finalized within the next 30 days.
