908 Devices, a pioneer in purpose-built chemical analysis tools, has announced its acquisition of Swiss-based NIRLAB AG. The strategic transaction, valued at an initial $15 million, significantly expands 908 Devices' portfolio in the law enforcement sector. This move integrates NIRLAB's advanced near-infrared spectroscopy platform to enhance narcotics detection capabilities for field officers.

Strategic Expansion into NIR Spectroscopy

The acquisition strengthens 908 Devices' leadership position by adding a powerful new modality to its analytical offerings. By incorporating NIRLAB's technology, the company creates a more comprehensive workflow for law enforcement customers. This end-to-end solution now ranges from rapid screening to highly sensitive trace-level analysis for a broad array of substances.

NIRLAB AG specializes in an AI-powered, cloud-connected platform centered on near-infrared (NIR) spectroscopy. Its handheld device is designed for immediate, point-and-click chemical analysis in the field. The integrated system includes an intuitive mobile application and a subscription model ensuring continuous software updates and evolving capabilities.

Enhanced Capabilities for Law Enforcement

The NIRLAB solution provides law enforcement with a critical tool for real-time decision-making during patrols. Its device can safely identify over 400 common narcotics, including cocaine and methamphetamine, in just seconds. This analysis can be performed directly on the substance or through thin plastic bags and glass, minimizing officer exposure.

Beyond simple identification, the technology offers sophisticated quantitative analysis of complex mixtures. It can accurately determine drug purity levels and analyze cannabis for specific percentages of THC and CBD. With over one million analyses already conducted in the field, the platform has a proven track record of reliability and performance.

Integration and Market Opportunity

Kevin J. Knopp, CEO and Co-founder of 908 Devices, expressed enthusiasm for the merger and its benefits for customers. He highlighted the powerful end-to-end workflow advantage the combined companies will offer law enforcement agencies. This integration aims to provide a complete solution for field-based chemical identification, from initial screening to detailed analysis.

NIRLAB co-CEOs Florentin Coppey and Matteo Delbrueck shared their excitement about joining the Massachusetts-based company. They noted the opportunity to bring their NIR technology to a global audience through 908 Devices' established market leadership. The combination of their platform with 908 Devices' commercial infrastructure is expected to better serve agencies worldwide.

Financial and Corporate Details

The acquisition involves an upfront payment of $15 million, comprising $13 million in cash and $2 million in 908 Devices common stock. The agreement also includes a potential earn-out of up to an additional $8 million in common stock. This future consideration is contingent upon the achievement of specific performance milestones over the next 20 months.

Founded in 2021, NIRLAB AG originated as a spin-out from the University of Lausanne, a world leader in forensic science. The company, which is based in Switzerland, currently employs a team of 15 people. Its rapid development and field success made it an attractive target for strategic acquisition in the analytical device market.

This acquisition marks a significant step for 908 Devices, solidifying its commitment to providing state-of-the-art tools for public safety. The integration of NIRLAB's proven spectroscopy platform promises to deliver unparalleled speed, accuracy, and safety to officers on the front lines. As these technologies are combined, the law enforcement community stands to gain a more powerful and versatile solution for combating illicit drug trafficking.
