TriGemX Bio, a biotechnology company focused on developing elismetrep for migraine, has agreed to combine with TCGX Acquisition Corp., a special purpose acquisition company sponsored by TCGX. The combined company will be named TriGemX Bio, Inc. and is expected to trade on Nasdaq under the ticker symbol TGEM. The transaction includes a concurrent US$160 million private investment in public equity, or PIPE, financing and expected gross proceeds of approximately US$246 million before transaction costs and assuming no redemptions.
Transaction Structure and Financing
The combined company expects to receive approximately US$246 million of total gross proceeds at closing. The amount will be funded by about US$86 million held in TCGX Acquisition Corp.'s trust account, assuming no redemptions by public shareholders, and a US$160 million PIPE of common stock at US$10.00 per share. The PIPE includes commitments from premier healthcare investors such as TCGX, Viking Global Investors, ADAR1 Capital Management, BVF Partners, Samsara BioCapital, and Vianti Capital.
Use of Proceeds and Development Plans
Net proceeds from the transaction are expected to provide the combined company with capital to complete ongoing Phase 3 clinical trials for the acute treatment of migraine and submit a New Drug Application for that indication. The company also intends to complete a clinical trial of elismetrep in migraine prevention using a distinct dose and formulation. In addition, the funding will enable key commercial readiness activities as the combined company prepares for a potential U.S. launch.
Elismetrep Profile and Clinical Progress
Elismetrep, also known as K-304, is an investigational, novel, oral TRPM8 channel blocker designed to block TRPM8 activity. It has been shown to be well tolerated and to reduce migraine pain and associated symptoms in a Phase 2b trial. Two pivotal studies and a long-term safety study are currently underway, with results from the first Phase 3 trial anticipated in mid-2027.
Leadership Commentary
Jeff Goater, CEO of TriGemX Bio, said the anticipated proceeds will position the combined company to fully fund Phase 3 development of elismetrep and commercial readiness activities. He noted that a meaningful percentage of patients with migraine do not achieve adequate relief from existing therapies. Chen Yu, Founder and Managing Partner of TCGX and CEO of TCGX Acquisition Corp., said the firm is thrilled to partner with TriGemX and support high potential life sciences companies.
Approvals and Equity Value
The boards of directors of both TriGemX Bio and TCGX Acquisition Corp. have approved the proposed transaction, which is expected to close in the first quarter of 2027. Completion remains subject to approval by shareholders of both companies and the satisfaction or waiver of customary closing conditions. Assuming no redemptions by public shareholders, the combined company is expected to have a post-transaction equity value of approximately US$600 million at closing, and TriGemX Bio shareholders will roll 100% of their equity without receiving cash proceeds.
Advisors and Regulatory Filings
Jefferies and TD Cowen acted as joint lead placement agents and capital markets advisors to TCGX, while Cantor and LifeSci Capital acted as placement agents. Cooley LLP served as legal counsel to TriGemX Bio, and Latham & Watkins LLP served as legal counsel to TCGX. Additional information about the transaction will be provided in a Current Report on Form 8-K to be filed with the SEC.
The business combination positions TriGemX Bio to advance elismetrep through pivotal development with meaningful financial backing from healthcare investors. If approved, elismetrep could become an important new treatment option for patients with migraine who need better relief. Investors and security holders will be able to review further details in the proxy statement and prospectus when they become available through the SEC.
