Vinci Compass has acquired a controlling stake in Sanar, a Brazilian medical education platform focused on physician training from graduation through advanced specialization. The investment was made through Vinci Capital Partners IV, a private equity fund with R$4 billion in committed capital, and represents the vehicle's fourth investment. The secondary transaction provides an exit for Sanar's venture capital backers, including DNA Capital, Valor Capital, Vox Capital, Península, Green Rock, and Igah Ventures.

Deal Rationale and Fund Strategy

The acquisition reflects the conviction of Vinci Compass in the structural growth of Brazil's medical education sector. The country now graduates approximately 40,000 new physicians every year, a trend reinforced by the expansion of undergraduate medical programs. Carlos Eduardo Martins, a partner and co-head of private equity at Vinci Compass, said the firm sees strong long-term growth and relevant opportunities in this segment.

Vinci Compass has prior education investment experience through Fanor, which was sold to Devry in 2009, and Vitru, an online education company that the manager helped found and take public. The VCP IV fund has also backed Arklok, Outback, and AGV in technology equipment rental, restaurants, and logistics. This transaction adds a scaled health education asset to that portfolio.

Sanar's Business and Growth Plans

Founded in 2014, Sanar operates four business units that span the physician training lifecycle. SanarFlix offers content for medical students, Sanar Pós provides postgraduate courses, Sanar Shopping sells books for health professionals, and Cetrus delivers more than 150 specialization courses in areas such as fetal medicine and sports medicine. The company has 50,000 physicians in its base and projects revenue of R$250 million for 2026.

Sanar acquired Cetrus in 2022 for R$166 million, a move that transformed the company into a medical education institution with a strong presence in ultrasonography and subspecialties. The founders said the business is profitable, generates cash, and maintains low debt. With Vinci Compass as a partner, Sanar intends to strengthen its position in additional medical specialties beyond gynecology, orthopedics, and psychiatry.

Geographic expansion is another priority, with plans to reach locations outside major urban centers that need advanced medical education. The company will pursue an asset-light model based on partnerships with existing structures rather than building owned facilities. According to founder Ubiraci Mercês, this approach allows Sanar to use the best available infrastructure in each region to deliver high-quality training experiences.

Competitive Landscape and Transaction Process

The medical education market in Brazil is increasingly competitive, with players such as Medway, MedGrupo, and Afya operating in the same space. Medway raised R$75 million in 2022 in a round led by SoftBank, while Afya recently announced a merger with Yduqs and maintains its own medical residency preparation vertical. Sanar's last venture funding round took place in 2020, when it raised R$60 million.

In early 2025 Sanar hired Itaú BBA and explored a capital raise that could have exceeded R$200 million, primarily through primary issuance. The current transaction is fully secondary and gives exit to all venture capital funds that invested in the company. The parties did not disclose the financial terms of the acquisition.

Itaú BBA served as financial advisor to Sanar, while the law firm Lefosse acted as legal advisor to Vinci Compass on the transaction. Completion of the acquisition remains subject to customary closing conditions for private equity transactions of this nature. Founders Ubiraci Mercês, Caio Nunes, and Maurício Lima will remain shareholders and continue to lead the company under the new ownership structure.

The acquisition positions Sanar to accelerate its impact on medical education in Brazil while preserving the entrepreneurial leadership that built the company. Vinci Compass gains a profitable and cash-generating platform in a sector with long-term demand driven by the steady supply of new physicians. If approved, the transaction will mark another significant step in the consolidation of Brazil's specialized education market.
