Tradeweb Markets Inc. has agreed to acquire Trumid Holdings, LLC, an electronic credit trading marketplace, for approximately US$1.97 billion. The transaction combines complementary dealer and buy-side protocols, client relationships, and data to expand Tradeweb's credit capabilities across the entire bond lifecycle. The deal is expected to enhance liquidity access and accelerate innovation for institutional and systematic market participants.

Strategic Rationale and Financial Benefits

The acquisition is designed to create a differentiated multi-protocol credit offering by combining Tradeweb AllTrade with Trumid's Swarms and Attributed Trading. Clients will gain access to a broader range of liquidity pools supported by automation, AI-enabled trade decisioning tools, and differentiated data and analytics. The combined platform also positions Tradeweb earlier in the credit lifecycle, including grey markets and new issue trading.

Tradeweb expects the deal to strengthen relationships with leading global banks and expand its penetration across market participants. Its established partnerships with large institutional investors complement Trumid's strong footprint among hedge funds and systematic traders. The company also plans to scale credit innovation in developed and emerging markets through Trumid's nimble product development approach.

Transaction Details and Financial Impact

Tradeweb will pay approximately US$1.97 billion, including US$1.75 billion for the business and about US$220 million for tax assets being acquired. Total consideration consists of approximately US$1.89 billion in cash, subject to customary adjustments, and US$82 million in equity. The cash portion will be funded primarily through available cash on hand.

The transaction has been unanimously approved by the boards of directors of both companies and is subject to regulatory approvals and other customary closing conditions. It is targeted to close in the first half of 2027. Tradeweb stated that the acquisition is expected to be accretive to adjusted earnings per share within the first full year following closing, with accretion increasing in subsequent years as expense synergies are realized.

Leadership Commentary

Tradeweb Chief Executive Officer Billy Hult described the acquisition as an important step in making credit markets more efficient and providing clients with smarter ways to access liquidity. He highlighted U.S. credit as a significant long-term growth opportunity as the market embraces electronic execution. Hult said the combination can accelerate innovation, broaden client solutions, and create a more differentiated trading experience.

Trumid Co-Chief Executive Officer and President Mike Sobel emphasized the shared passion for technology and client experience across both teams. He said the combined networks of buy-side and sell-side clients will benefit from a stronger and more intelligent trading experience. Sobel expressed excitement about continuing momentum as part of the Tradeweb team.

Advisors and Conference Call

Morgan Stanley & Co. LLC is serving as exclusive financial advisor to Tradeweb, while Goldman Sachs & Co. LLC is advising Trumid. Fried, Frank, Harris, Shriver & Jacobson LLP and Simpson Thacher & Bartlett LLP are acting as legal advisors for Tradeweb, with Latham & Watkins LLP advising Trumid. Tradeweb will host an investor conference call on October 20, 2026, at 8:30 AM Eastern Daylight Time.

By acquiring Trumid, Tradeweb is extending its multi-asset class platform further into U.S. credit and earlier stages of the bond lifecycle. The combination brings together complementary workflows, data, and client relationships that could make electronic credit trading more efficient at scale. If completed as expected, the deal may strengthen Tradeweb's competitive position and create value for clients and shareholders over the long term.
