Pri0r1ty Intelligence Group PLC has acquired the operating assets, intellectual property, and technology platform of Pirkx Limited, expanding its presence in employee wellbeing and benefits for small and medium-sized businesses. The AIM-listed AI company acquired the assets from Pirkx administrator BTG Begbies Traynor London LLP for an initial cash payment of £50,000, alongside a revenue-linked royalty arrangement. Pri0r1ty expects the transaction to bring more than 10,800 active paying UK members into its ecosystem while creating a new distribution channel for its artificial intelligence products.
Expanding Into Employee Wellbeing
Founded in 2018, Pirkx developed a self-service digital benefits platform designed for SMEs, contractors, and gig economy workers that traditionally have limited access to corporate employee benefits. Its offering includes virtual GP consultations, telephone counseling, gym discounts, financial wellbeing services, and more than 2,500 retail cashback offers. As of June 2026, the platform had more than 10,800 active paying members in the UK and a pipeline of additional potential corporate memberships.
Pirkx generated turnover of £554,584 for the year ended April 30, 2025, while reporting a loss before tax of £965,000. The company had previously attracted approximately £5.4 million of investment to develop its platform and associated research and development capabilities. Pri0r1ty believes the acquisition provides an opportunity to preserve Pirkx's existing customer relationships while restructuring the operating model around automated technology.
Integrating Pri0r1ty's AI Technology
Pri0r1ty plans to integrate several of its proprietary AI products into Pirkx to automate processes that previously required significant administrative and customer-support resources. Its Vox AI voice agent is expected to support onboarding, sales qualification, and corporate renewal campaigns, while its Advisor platform will handle member support inquiries around the clock. Compass ID will also be used to analyze Pirkx's member profiles and improve customer segmentation, targeted marketing, and cross-selling opportunities.
The company expects Pirkx subscribers to migrate onto Pri0r1ty's infrastructure while continuing to access their existing benefits through the Pri0r1ty Pirkx brand. Management believes the integration can lower operating costs while improving the platform's ability to convert new customers from its existing sales pipeline. Pri0r1ty also intends to introduce its broader SaaS portfolio to SMEs already using Pirkx, potentially increasing revenue generated from the acquired customer base.
Building an Acquisition-Led Distribution Strategy
The transaction supports Pri0r1ty's broader strategy of acquiring technology businesses with established SME audiences and using those customer relationships to distribute its AI products. By controlling Pirkx's employer dashboard and existing member network, Pri0r1ty gains a direct route to businesses that could adopt additional software and automation services. The company said the model could be repeated through further acquisitions of technology platforms where AI automation can reduce administrative costs and improve commercial performance.
Pri0r1ty Chief Executive Rory Maxwell described the acquisition as an important step in the company's growth strategy, highlighting Pirkx's existing product and user base despite its historical operational challenges. He said the integration of Pri0r1ty's AI tools could help eliminate inefficiencies, convert Pirkx's sales pipeline, and establish the business as a stronger revenue-generating division. The company is also evaluating additional revenue-producing transactions that could deploy its technology across significantly larger customer bases.
Transaction Terms
Pri0r1ty will pay £50,000 in cash for Pirkx's operating assets, intellectual property, and business contracts, funded from its existing cash resources. The agreement also includes a 4% royalty on revenue for five years, with total royalty payments capped at £350,000, while Pri0r1ty may defer payments during the first six months under specified terms. The transaction is being completed on a debt-free basis, although Pri0r1ty will assume Pirkx's existing payroll liability, estimated at approximately £38,000 per month.
The acquisition gives Pri0r1ty an established employee benefits platform, an immediate paying user base, and a new channel through which to deploy its AI-driven business tools. Its ability to improve Pirkx's economics will depend on whether automation can materially reduce operating costs while supporting customer retention and new sales. The transaction also provides an early test of Pri0r1ty's wider buy-and-build strategy of acquiring SME technology platforms and using them to expand distribution of its AI software.
