OpenPayd, a global financial infrastructure provider, has announced a significant expansion of its regulatory presence in the United States through the integration of MSB USA. The move brings 43 state money transmitter licences under the OpenPayd umbrella and creates a broad operational pathway across the American market. The company says the expansion positions it for accelerated growth in North America and strengthens support for clients operating in or entering the United States.

Regulatory Expansion Across the United States

The integration of MSB USA, a state-licensed money services business, marks the completion of a planned alignment following regulatory approvals. This structure gives OpenPayd a scalable foundation for future growth and expands geographic reach for its global client base. The company will maintain MSB USA's established services while preparing for full integration into the OpenPayd platform.

Building on European Momentum

The US expansion follows OpenPayd's authorisation under the European Union's Markets in Crypto-Assets framework, granted by the Malta Financial Services Authority. This regulatory milestone enables the company to offer compliant digital asset services across Europe. Together with the new US licences, OpenPayd now claims regulated foundations spanning the US, the UK and Europe across both fiat and digital assets.

Strong Growth and a Public Market Path

The announcement comes against a backdrop of sustained organic growth, with annual recurring revenue exceeding US$96 million and annualised transaction volume surpassing US$300 billion. In June 2026, OpenPayd entered into a definitive business combination agreement with Titan Acquisition Corp. The transaction is expected to take OpenPayd public on Nasdaq under the ticker symbol OP, with an equity value of up to US$1.145 billion.

Leadership Commentary

Iana Dimitrova, Chief Executive Officer of OpenPayd, described the US entry as a transformative next step built on multi-year growth. She noted that clients are increasingly global and that demand for seamless, compliant payment infrastructure in key markets such as the US drove the move. She added that the company is deepening its commitment to secure, reliable and compliant infrastructure for the digital economy.

Strategic Infrastructure for a Digital Economy

Dr. Ozan Ozerk, founder of OpenPayd and MSB USA, emphasised that every era of finance has been defined by its infrastructure. He said correspondent banking wired together the twentieth century economy, while programmable money will power the twenty-first. Ozerk argued that OpenPayd now has regulated infrastructure spanning both fiat and digital assets on both sides of the Atlantic, a position few providers can claim.

Operational Continuity During Integration

Both OpenPayd and MSB USA were founded by Dr. Ozan Ozerk, and the US-licensed business will continue operating under its experienced leadership team. This long-term strategic alignment is designed to provide regulatory clarity and operational focus as OpenPayd prepares for full market entry. MSB USA will keep delivering its established services while the integration into the OpenPayd platform progresses.

The expansion of OpenPayd's regulatory footprint supports its broader ambition to become a publicly listed company and serve global businesses with integrated payment infrastructure. By combining US money transmitter licences with European digital asset authorisation, the company aims to simplify cross-border operations and reduce complexity for clients. As the planned Nasdaq listing moves toward an expected closing in the fourth quarter of 2026, OpenPayd is positioning itself as a regulated provider of financial infrastructure across major transatlantic markets.
