Pilat Group, an Israeli company focused on employee assessment and human capital development, is preparing to list on Canada's TSX Venture Exchange through a reverse takeover in the first half of 2027. The company plans to raise approximately CAD 6 million at a pre-money valuation of CAD 42 million, with an expected post-transaction valuation of around CAD 52 million. The listing is expected to support the global expansion of its artificial intelligence based assessment technology, with emphasis on North America.

Reverse Takeover and Deal Structure

The reverse takeover is being advised by Exiteam Capital Partners, an Israeli investment firm that guides technology companies toward listings in Canada. Pilat recorded revenue of US$6.3 million and EBITDA of US$1.25 million in 2025, reflecting an EBITDA margin of approximately 20%. The company's established assessment operations therefore provide a profitable foundation while the newer technology unit begins to scale.

EVA AI Platform and Validation

Central to the company's technology push is EVA, an AI system that produces reasoned diagnostic opinions alongside candidate scores. Pilat reports that EVA generated revenue of US$360,000 in 2025, an increase of roughly 390% compared with the previous year. The number of users and candidates on the platform grew more than fivefold during the same period.

Client Adoption and Evidence

In a validation study, EVA results were compared with assessments by a senior occupational psychologist, and the company found a correlation of 0.89 between the evaluations. The system is already used by organizations including the IDF, Mizrahi Tefahot Bank, the Israel Electric Corporation, and Israel Post. In one client case involving 914 candidates over five months, 89% of hired candidates received a fit score of 3.7 or higher, while no hired candidate scored below 3.2.

Company Background and Data Foundation

Pilat was founded in 1974 and is chaired and owned by Zohar Maimon, with a client list that includes banks, academic institutions, commercial companies, and government bodies. The company's technology was developed in collaboration with iVerse and draws on 52 years of assessment data covering more than two million candidates. Pilat has translated its diagnostic knowledge, data, and methodologies into mathematical representations that AI systems can use to evaluate capabilities and personality traits.

Strategic Expansion into North America

The planned Toronto listing is part of Pilat's effort to expand its technology operations internationally, especially in North America. The company aims to extend EVA beyond recruitment to assess existing employees, identify management potential, support role suitability analysis, and evaluate readiness for AI driven work environments. This strategy positions Pilat as a provider of decision making infrastructure across the entire employee lifecycle.

Human Capital Intelligence Opportunity

The company views the combination of a profitable legacy business, a long built diagnostic database, and advanced AI technology as a basis for accelerated growth. Demand for AI based assessment is expected to rise as organizations evaluate workers' ability to learn, adapt, and transition into new roles. Pilat's leadership believes this shift will increase the need for human capital intelligence solutions beyond the initial hiring stage.

Pilat's planned listing on the TSX Venture Exchange represents a significant step in its transition from a traditional Israeli assessment firm to an international technology company. The reverse takeover, combined with a growing AI platform and a profitable services business, offers investors exposure to the expanding human capital intelligence market. If completed as planned in the first half of 2027, the Toronto listing may provide the capital and visibility needed to accelerate the company's North American expansion.
