Australian defence firm Electro Optic Systems (EOS) has announced a definitive agreement to acquire the European technology provider MARSS. This strategic acquisition centers on MARSS's advanced NiDAR command and control system, which utilizes artificial intelligence to counter sophisticated drone threats. The move is set to transform EOS into a comprehensive provider of integrated counter-drone solutions for global defence and security markets.


A Strategic Shift to Integrated Systems

The acquisition marks a significant evolution in EOS's business model, shifting it from a component supplier to an end-to-end systems integrator. By combining its sensor and effector technologies with MARSS's C2 platform, the company can now offer a complete "Detect, Identify, Decide, Defeat" solution. This enhanced capability positions EOS to compete as a prime contractor for larger, more complex defence programs worldwide.

This integrated system is designed to protect critical infrastructure across a wide range of sectors. Target applications include military installations, homeland security operations, and vital civil assets such as airports and power plants. The deal expands EOS's geographic footprint and broadens its market presence by leveraging MARSS's established relationships in these domains.

Harnessing Advanced AI and Technology

At the heart of the acquisition is MARSS's proprietary NiDAR technology, a sophisticated command and control system. Its AI-enabled software provides advanced sensor fusion and automated decision-making to rapidly neutralize asymmetric drone threats. This significantly strengthens EOS's in-house software development and artificial intelligence capabilities, a critical asset in modern defence technology.

EOS plans to embed the NiDAR platform directly into its existing range of remote weapon systems. This integration will enable the creation of a novel mesh-network, providing vehicle fleets with hemispherical protection against drone attacks. Financial and Operational Details

The transaction is structured as an asset acquisition with an upfront cash payment of US$36 million, funded from existing reserves. An additional earnout of up to €100 million is contingent on MARSS securing new third-party contracts over a set period. The deal is expected to be finalized in 2026, pending necessary customer, regulatory, and other standard approvals. Financially, the acquisition is projected to be broadly neutral for EOS's earnings and operating cash flow in its inaugural year.
