Enovis to Acquire eCential Robotics for €155 Million

Deal adds robotic automation to the ASTRA platform and creates a robotics hub in Grenoble, France

Enovis Corporation has entered into a binding offer to acquire French surgical robotics company eCential Robotics, expanding its portfolio of technologies designed to support orthopedic procedures. The proposed transaction gives eCential Robotics an upfront enterprise value of €155 million and includes potential additional payments tied to future milestones. Subject to regulatory approvals and other customary conditions, Enovis expects the acquisition to close by the end of 2026.


Expanding Enovis’ Surgical Robotics Platform

The acquisition would add robotic automation capabilities to Enovis’ ASTRA enabling technology platform, strengthening the company’s presence in technology-assisted surgery. Enovis plans to combine eCential Robotics’ robotic platform with its existing ARVIS Augmented Reality System to provide surgeons with a broader range of precision technologies in operating rooms. The company expects the integration to support more efficient surgical workflows while advancing its wider strategy around orthopedic enabling technologies.

eCential Robotics has spent more than 15 years developing technologies spanning computer-assisted surgery, robotics engineering, software, and surgical automation. Its modular platform is designed to support the development and deployment of robotic-assisted surgical applications while allowing different technologies to operate within a unified environment. Enovis said these capabilities could accelerate its robotics development roadmap and provide a foundation for additional surgical solutions.

Transaction Structure and Financial Impact

Under the proposed terms, Enovis would acquire eCential Robotics for an upfront enterprise value of €155 million, representing approximately €176 million in cash consideration payable to shareholders at closing. The agreement also provides for up to €35 million in additional contingent consideration if specified milestones are achieved following the transaction. Enovis intends to finance the acquisition using cash available on its balance sheet together with capacity under its existing revolving credit facility.

Enovis expects the transaction to create near-term pressure on its profitability while contributing to longer-term growth in its technology portfolio. The company forecasts approximately 150 basis points of transaction-related dilution to adjusted EBITDA margin in 2027, partially offset by around 50 basis points of underlying improvement, resulting in an estimated net 100-basis-point headwind. Enovis expects year-over-year margin improvement to resume in 2028, while free cash flow conversion is projected to rise to 50% in 2027 and improve further thereafter.

Robotics Center in Grenoble

The transaction would also establish Grenoble, France, as a robotics center of excellence within Enovis, building on eCential Robotics’ existing engineering and technology capabilities in the region. Enovis intends to maintain and develop the company’s expertise in surgical robotics while supporting existing partnerships and advancing a shared innovation roadmap. Grenoble is regarded as an important European technology and medical engineering hub, providing the combined organization with access to specialized talent.

Enovis CEO Damien McDonald said eCential Robotics’ engineering capabilities, intellectual property, and experience bringing robotic solutions to market would become a central component of the company’s robotics strategy. eCential Robotics CEO Clément Vidal said joining Enovis would allow the company to pursue its objective of improving operating-room efficiency and patient outcomes at a larger scale. Founder and Chair Stéphane Lavallée added that the combination would support the continued development of eCential Robotics and reinforce Grenoble’s role within the organization.

Closing Process

Before a definitive acquisition agreement is signed, the parties must complete the information and consultation process with eCential Robotics’ works council as required under French law. Following that process, Enovis and eCential Robotics expect to proceed with the definitive agreement, with completion still targeted for year-end 2026. The transaction will also remain subject to regulatory approvals and other closing requirements.


The proposed acquisition represents a significant expansion of Enovis’ surgical technology strategy as the company increases its exposure to robotics and automated surgical systems. By combining eCential Robotics’ modular robotics platform with Enovis’ existing augmented reality and orthopedic technologies, the company aims to create a more integrated ecosystem for precision surgery. If completed as planned, the deal would also establish eCential Robotics’ Grenoble operations as a key development center for Enovis’ future robotics initiatives.
