Freight technology company Einride has announced its definitive agreement to acquire Flipturn, a developer of electric fleet charging software. The all-stock transaction is valued at $38.4 million and aims to create a fully integrated electric freight technology stack. This strategic move is set to establish North America's largest heavy-duty electric vehicle charging ecosystem.
Strategic Expansion in North America
This acquisition marks a pivotal step in Einride's strategy to scale its operations across the United States. By absorbing Flipturn, the company consolidates the market and enhances its software layer for electric freight optimization. The integration promises to deliver more cost-efficient and reliable charging access to Einride's growing customer base.
The deal immediately expands Einride's operational capacity by incorporating Flipturn's established customer portfolio. This adds over 250 megawatts of charging capacity from some of the continent's largest transportation and delivery fleets. Consequently, Einride will more than double its total energy under management, significantly strengthening its market position.
Integrating Advanced Technologies
The synergy between the two companies will enhance Einride's AI-driven platform, Saga, which has already supported millions of electric miles. Flipturn's software will improve charging infrastructure management by using AI to predict charging times and optimize power delivery. This combination creates a more intelligent and adaptive system for managing electric vehicle and battery behavior.
A key benefit for fleet operators will be a reduction in total energy costs. Flipturn's technology is designed to manage grid expenses, including time-of-use tariffs and peak demand charges. By aggregating charging demand at a large scale, Einride can also secure more competitive access to third-party charging networks.
Details of the Acquisition
The transaction is structured as an all-stock deal with a purchase price of $38.4 million, subject to adjustments. Payment will be made in Einride American depositary shares, with the exact number determined by a volume-weighted average share price. This structure aligns the interests of both companies as they move forward with the integration.
Flipturn stockholders are also eligible for additional earnout considerations upon achieving specific future milestones. The acquisition is anticipated to be finalized in July 2026, pending regulatory approvals and customary closing conditions. Flipturn co-founder Katie Siegel confirmed that customers will retain the same team and platform, now backed by Einride's scale.
Einride's acquisition of Flipturn represents a significant consolidation in the electric freight technology sector. The move creates a unique, vertically integrated platform that addresses both fleet optimization and energy management. This strategic purchase positions Einride to accelerate the adoption of sustainable and cost-efficient logistics throughout North America.
