David's Bridal has announced plans to separate Pearl, its AI-powered wedding planning, media, commerce, and vendor marketplace platform, into a standalone public company through a proposed business combination with K&F Growth Acquisition Corp. II. The companies signed a non-binding letter of intent that values Pearl at US$350 million and includes a planned US$75 million PIPE investment. The move is intended to accelerate growth for Pearl while preserving the David's Bridal retail business and customer experience.

Strategic Separation and Business Combination

Under the proposed structure, Pearl would acquire David's Bridal's brand and intellectual property, building on 75 years of heritage in the wedding industry. David's Bridal stores are expected to operate as usual, with no disruption to appointments, products, services, or the guest experience. The two businesses intend to enter long-term commercial agreements that support continued growth across both physical and digital guest experiences, and David's Bridal is expected to remain a material shareholder in Pearl.

Platform Capabilities and Revenue Streams

Pearl brings together Pearl Planner, Pearl Connect, and a digital content network spanning LoveStoriesTV, YouTube channels, blogs, and social media profiles. The ecosystem supports four revenue streams: advertising and media, vendor listings and subscriptions, commerce and marketplaces, and licensing and brand partnerships. According to the announcement, approximately 90% of U.S. brides engage with Pearl's ecosystem, which records about 13 billion annual brand impressions and interactions.

Leadership and Market Reach

Kelly Cook, currently chief executive officer of David's Bridal, is expected to lead Pearl as CEO, while Elina Vilk, currently president and chief business officer, is expected to serve as president. Cook has led transformations at Continental Airlines and DSW Designer Shoe Warehouse, and Vilk previously held leadership roles at Meta, PayPal, Hootsuite, WooCommerce, and Visa. The digital content network reaches 8 million social media followers and 30 million monthly viewers, while the e-commerce site attracts 60 million visitors annually.

Commercial Flywheel and Data

Pearl's model relies on a commercial flywheel in which each customer interaction deepens first-party insights across more than 200 data attributes. These insights allow agentic AI to personalize recommendations, target communications, and connect vendors with qualified leads. The company expects this approach to reduce customer acquisition costs and strengthen the value of its ecosystem for couples, vendors, and brands.

Financial Outlook and Transaction Terms

Pearl forecasts EBITDA margins above 30% in 2026 and projects revenue growth of more than 100% in 2027, reaching in excess of US$85 million. It also anticipates positive free cash flow in both years and expects to be debt-free following the proposed business combination. The non-binding letter of intent contemplates a US$75 million PIPE financing, including a proposed US$25 million anchor investment from CION Investment Corporation, David's Bridal's largest shareholder.

Timeline and Conditions

The parties expect to announce additional details when a definitive agreement is executed and currently anticipate closing the transaction in the first half of 2027. Completion is subject to due diligence, negotiation of definitive documentation, board and shareholder approvals, regulatory clearances, and other customary conditions. K&F has scheduled an extraordinary general meeting for November 3, 2026, to vote on extending its business combination deadline to February 7, 2028.

The proposed separation highlights David's Bridal's effort to unlock value by pairing its established bridal brand with a fast-growing digital platform. Pearl is positioned to benefit from a large U.S. wedding services market nearing an estimated US$100 billion in 2026, while maintaining a synergistic relationship with David's Bridal's physical retail network. Although the transaction remains subject to negotiation and approvals, the announcement signals a significant strategic shift for one of the wedding industry's most recognized names.
