Datavault AI Inc. (Nasdaq: DVLT) has announced a non-binding letter of intent to acquire a 19.9% equity interest in DataMEDS AI, Inc. (Nasdaq: MEDS) in exchange for an expanded technology license. The agreement would give Datavault AI an ownership stake on a fully diluted basis while preserving its underlying intellectual property. Completion remains subject to due diligence, negotiation of definitive agreements, and customary closing conditions.

Company Profiles

Datavault AI describes itself as an artificial intelligence platform company providing data monetization, credentialing, and real-world asset tokenization. Its cloud-based platform serves multiple industries, including healthcare, sports and entertainment, biotech, and fintech. DataMEDS AI, formerly Wellgistics Health, focuses on vertical integration of technology, pharmacy, pharmaceutical-adjacent, and telemedicine business units through its health information technology platforms.

Transaction Structure and Equity Terms

Under the proposed structure, DataMEDS would assume responsibility for commercialization costs associated with the licensed technologies. Datavault AI expects to receive the 19.9% equity interest on a fully diluted basis and could participate in potential royalty revenue. The companies indicated that the non-binding letter of intent may be terminated under certain circumstances, including as a result of due diligence.

Healthcare Platform Expansion

The expanded license would support the Datavault AI Health capabilities across pharmacy, laboratory, wearable, and broader commercial healthcare environments. DataMEDS intends to combine these capabilities with its PharmacyChain platform and EinsteinRx AI tools, which already operate under an existing Datavault AI license. The announcement follows recent U.S. Food and Drug Administration guidance regarding regulatory considerations for prescription drug use-related software.

Broader Collaboration and Strategic Goals

DataMEDS is pursuing a broader healthcare technology strategy through arrangements with several parties, including EOS Technology Holdings, Scilex Holding Company, HealthBridge Advisors, and REBOOT Health AI. These relationships are intended to strengthen DataMEDS' capabilities in patient-controlled data tokenization, biometric medication verification, and automated delivery technologies. Datavault AI said it expects to support DataMEDS as it works to disrupt healthcare through improved health outcomes.

Leadership Commentary

Nathaniel Bradley, Chief Executive Officer of Datavault AI, said DataMEDS will reduce costs, improve quality of care, and empower patients with powerful data-driven outcomes. He described the vision as an enduring one for pioneers in behavioral healthcare. Bradley added that Datavault AI is excited to participate in value creation at DataMEDS through equity participation and royalties for the use of its technologies.

Intellectual Property and Licensing Terms

Datavault AI would retain ownership of its underlying intellectual property while providing an expanded, exclusive license subject to specified exceptions. Relevant patent records include U.S. Patent Nos. 12,100,025 and 12,596,819, along with U.S. Patent Application Publication No. 2022/0188925. The definitive license schedule will confirm the specific patents and applications covered by the proposed healthcare license.

Timing and Conditions

Bradley noted that significant due diligence and document preparation have already taken place under a previous letter of intent. He said a closing in the fourth quarter of 2026 is realistic, although the parties are under no obligation to complete the transaction absent definitive agreements. The proposed deal would also give Datavault AI the right to designate one director to the DataMEDS board following closing.

Datavault AI views the proposed arrangement as a capital-efficient way to leverage its intellectual property through licensing and equity participation. If completed, the transaction could expand the commercial reach of Datavault AI Health technologies in the healthcare sector. Investors and stakeholders will watch for the completion of due diligence and the execution of definitive agreements in the coming quarters.
