Clarify Health, a technology company specializing in healthcare outcomes, has announced its acquisition of Loyal Health, a patient activation platform. This strategic combination creates the industry's first integrated system designed to close the loop between referral intelligence and care activation. The unified platform aims to streamline the patient journey from identifying care needs to successfully scheduling and completing appointments.


Addressing a Critical Gap in Patient Referrals

The acquisition directly targets the persistent issue of referral leakage within health systems, where a significant number of patient referrals fail to result in a completed visit. Industry research indicates this gap can cost healthcare providers between 10 and 30 percent of their potential revenue. Such losses are particularly impactful given that median hospital operating margins are currently hovering near one percent.

This referral gap represents more than just a financial challenge; it also poses significant problems for care quality and patient access. The root cause is often a structural disconnect between the systems that identify where a patient should receive care and the tools used to guide them there. This fragmentation creates inefficiencies and barriers that prevent patients from receiving timely and appropriate treatment.

A Unified Platform for End-to-End Care Management

By integrating Loyal Health's capabilities, Clarify Health is launching a comprehensive solution that combines referral intelligence with patient activation. Clarify’s Meridian® platform provides the analytics to determine the best provider for a patient's needs. Loyal’s technology then activates the patient, facilitating seamless navigation and scheduling to ensure the connection is made.

Loyal Health brings a robust platform that manages over 80,000 provider profiles and powers millions of patient searches and scheduling transactions annually for its nationwide health system clients. This operational strength, paired with Clarify's deep analytical insights, will offer health systems unprecedented visibility and control over patient access and network growth. The combined entity will provide a single engine to manage the entire referral lifecycle.

Strategic Vision and Industry Impact

Todd Gottula, CEO and Co-Founder of Clarify, emphasized that while health systems understand the importance of referral management, they have lacked a unified platform to execute it effectively. He stated that the combination of Clarify's intelligence and Loyal's activation tools will finally give providers the ability to manage the full loop. This integration is designed to move from referral insight to a measured, successful outcome.

Nanette Oddo, former CEO of Loyal Health, expressed confidence that the acquisition will amplify the company's impact. She noted that joining Clarify provides the resources, data, and scale necessary to enhance their platform's value for nearly 500 hospital clients. This will ultimately improve care delivery for the communities these health systems serve.

From an investor perspective, Will Reed, General Partner at Spark Capital and a Clarify board member, positioned the company as a central platform for managing network integrity. He highlighted that the industry is moving toward AI-enabled outcomes delivery. Reed believes that the addition of Loyal's activation capabilities solidifies Clarify's leadership role in powering this transformation.

Leadership and Transaction Details

The combined company will be led by Clarify's CEO and Co-Founder, Todd Gottula. Loyal Health will continue its operations as a wholly owned subsidiary of Clarify Health. Both companies have assured existing customers that they will continue to receive the same high level of products, services, and support.

The financial terms of the transaction were not publicly disclosed. Legal counsel for the deal was provided by Orrick, Herrington & Sutcliffe LLP for Clarify and Goodwin Procter LLP for Loyal. OM Partners served as the financial advisor to Loyal Health during the acquisition process.
