Satellite communications company Astrum Space Inc. has announced a definitive business combination agreement with Black Spade Acquisition III Co. This strategic merger will take Astrum public on the New York Stock Exchange under the new name "Astrum Space Company". The transaction values Astrum at an equity value of approximately US$1 billion, positioning it to accelerate its growth plans.


Strategic Vision for Asia-Pacific Connectivity

Astrum is focused on developing a next-generation satellite-to-device (S2D) broadcast and data-distribution network tailored for the Asia-Pacific region. The company's foundation is built upon its significant assets, including 25 MHz of contiguous L-band spectrum. These resources are pivotal for establishing a reliable and widespread connectivity platform across a dynamic and expansive market.

Details of the Business Combination

The proposed merger values Astrum at a US$1 billion equity value, excluding potential proceeds from BIII’s approximately US$172.5 million cash in trust. This transaction is expected to provide substantial capital to fuel Astrum's commercialization and expansion efforts. The deal is anticipated to close by the end of 2026, subject to customary regulatory and shareholder approvals.

Upon the transaction's completion, existing Astrum shareholders are projected to retain a commanding majority stake, holding over 80% of the combined company. This ownership structure ensures continuity in the company's long-term vision and strategic execution. The public listing is designed to enhance Astrum's financial flexibility and raise its profile within the competitive space industry.

Advancing Satellite Infrastructure

A cornerstone of Astrum's future is the development of its new NEASTAR-1 satellite, currently being manufactured by SWISSto12. The company has already secured launch and orbital-delivery services with Impulse Space for this advanced geostationary platform. The launch is scheduled for a window between late-2028 and the first quarter of 2029, marking a key milestone.

Do emphasized that Astrum now has a clear path toward deploying its next-generation S2D broadcast platform.
