AI Maverick Intel, Inc. announced on October 12, 2026 that it has entered into a definitive share purchase agreement to acquire Heal Access Canada Inc. from HEAL Group Holdings Inc., its controlling stockholder. The transaction will bring an agentic AI healthcare intelligence platform into AIMV, supporting patients, clinicians, and healthcare organizations across five countries. The agreement follows a non-binding letter of intent announced on March 30, 2026 and corrects an earlier statement that prematurely described the deal as definitive.
Transaction Structure
Under the agreement, AIMV will acquire all issued and outstanding shares of Heal Access through a wholly owned subsidiary. The purchase price consists of a US$5 million secured promissory note and 20,000,000 exchangeable shares, each exchangeable for one share of AIMV common stock. The two-year vendor note carries simple interest at 10% per annum, is prepayable without penalty, and is secured by the Heal Access shares and guarantees from AIMV and Heal Access.
Closing is conditional on AIMV raising or obtaining binding commitments for at least US$6 million in financing. The company must also complete the exchangeable share structure, obtain ratification from an independent special committee, and satisfy customary conditions including no material adverse change. AIMV has agreed to use commercially reasonable efforts to complete the financing by December 31, 2026, and either party may terminate if closing has not occurred by February 28, 2027.
Platform and Market Opportunity
Heal Access operates an agentic AI healthcare intelligence platform that unifies fragmented health information from electronic health records, wearables, and applications. Its core engine, HEALix, combines an AI Knowledge Base, AI Health Companion, Intelligent Case Management, AI Patient Records, assessments and triage routing, and reporting and analytics. The platform is live in production in the United States, Canada, the United Kingdom, Germany, and Australia with more than 118,000 patients already using it.
The company records revenue through a hybrid software-as-a-service model that includes recurring clinic and patient subscription fees, configuration and onboarding services, and multi-year enterprise agreements. Built on an API-first architecture, Heal Access integrates with existing electronic health record systems so organizations can add AI capabilities without replacing infrastructure. The platform incorporates responsible AI principles and is designed to support HIPAA, PIPEDA, and GDPR requirements, with EU medical device and NHS DTAC assessments in progress.
Analysts forecast the digital health market will reach US$574 billion by 2030, while the World Health Organization projects a global shortfall of 10 million health workers by 2030. Regulatory developments such as the EU AI Act are pushing health systems toward compliant, audit-ready AI platforms. Heal Access is positioned as an intelligence layer above the clinical systems providers already use.
Related Party Governance and Ownership
Because HEAL Group is AIMV's controlling stockholder, the transaction is subject to ratification by a special committee of independent directors. HEAL Group currently holds 100,000,000 shares of AIMV common stock, representing approximately 77.0% of the 129,786,748 shares outstanding. If all exchangeable shares are exchanged, HEAL Group would hold approximately 80.1% of AIMV's outstanding common stock before any shares issued in the financing.
In addition to the US$5 million vendor note, Heal Access and its subsidiaries owe HEAL Group and its affiliates approximately US$6.4 million, which will be assumed by AIMV at closing. AIMV's news release dated September 21, 2026 incorrectly stated that a definitive agreement had been signed, when only the non-binding letter of intent was in place. The definitive share purchase agreement described in this announcement was signed on October 12, 2026.
AIMV intends to back the Heal Access team in existing markets, pursue broader enterprise adoption, and evaluate complementary opportunities within the HEAL Group portfolio. The company also plans to become a fully reporting public company, which management views as a foundation for its next stage of growth. There can be no assurance that the financing will be completed or that the acquisition will close, but the transaction represents a meaningful step toward building a healthcare AI operating business.
