Agilent Technologies Inc. (NYSE: A) has entered into a definitive agreement to acquire Proscia, a digital pathology software provider, in an all-cash transaction valued at US$240 million at closing. The purchase price includes up to an additional US$30 million contingent on achieving future performance milestones. This move expands Agilent's pathology portfolio with AI-enabled digital pathology and scientific intelligence capabilities.

Transaction Overview

Upon closing, Proscia will become part of the Agilent Life Sciences and Diagnostics Markets Group. The transaction is expected to close early in Agilent's fiscal year 2027, subject to customary closing conditions. Agilent and Proscia previously entered into a multi-year distribution agreement in September 2022 to offer a comprehensive digital diagnostic pathology system.

Platform and Market Position

Proscia's Concentriq platform serves as a central operating layer for digital pathology by connecting slide scanners, laboratory information systems, image analysis applications, AI tools, people, and data. The company supports more than 4,000 laboratories, hospitals, and clinics across the United States and Europe, and it serves 16 of the top 20 pharmaceutical companies. Proscia was named 2026 Best in KLAS for Digital Pathology and earned the highest performance score in both the United States and Europe.

Strategic Rationale

The acquisition strengthens Agilent's existing leadership in pathology instrumentation and reagents by adding a vendor-agnostic digital pathology platform with FDA 510(k) clearance for primary diagnosis. Proscia's recurring revenue model is expected to add a high-growth, high-margin software business to Agilent's pathology portfolio. The combination also builds on Agilent's recent transaction with Biocare Medical, widening its strategic moat in a high-growth market.

Leadership Commentary

Agilent President and CEO Padraig McDonnell said digital pathology is quickly becoming the foundation for pathology data generation, analysis, and application across biopharmaceutical research, clinical development, and diagnostics. He noted that the acquisition establishes an Agilent platform for scientific intelligence in tissue-based precision medicine, connecting data generation with AI-based interpretation. Proscia CEO David West said the agreement reflects the strength of the platform his team built and accelerates innovation through open, digital, and AI-enabled solutions.

Financial and Operational Impact

Proscia reported trailing twelve months revenue exceeding US$18 million and brings a high-growth profile to Agilent's diagnostics business. Its platform holds FDA clearance for primary diagnosis, which supports clinical use cases and regulatory confidence. The acquisition also enhances Agilent's companion diagnostics and biopharma drug discovery offerings by leveraging a growing repository of real-world data.

Outlook

Agilent, which generated US$6.95 billion in revenue in fiscal year 2025 and employs approximately 18,000 people worldwide, expects Proscia's recurring revenue model to add a high-margin software business that supports long-term growth. The transaction remains subject to customary closing conditions and is expected to close early in Agilent's fiscal year 2027. DLA Piper LLP (US) is serving as legal adviser to Agilent, and Cooley LLP is serving as legal adviser to Proscia.

The planned acquisition of Proscia positions Agilent to accelerate AI-enabled pathology workflows across drug discovery, clinical development, and diagnostics. By integrating Proscia's vendor-agnostic software platform with its existing instruments and reagents, Agilent aims to create a unified environment for managing pathology images, data, and workflows. This transaction underscores Agilent's commitment to building a differentiated pathology portfolio and creating long-term value for customers and shareholders.
